Further to immediate reports published by Bank Hapoalim B. M. (hereinafter: "the Bank") on 11.06.2019 in connection with the intention to perform an issue of subordinated notes with a loss absorption mechanism by means of Poalim Hanpackot Ltd. ("Poalim Hanpackot", a wholly owned subsidiary company of the Bank being a reporting corporation), the Bank updates as follows:

On 11.06.2019 Poalim Hanpackot completed an issue to the public of subordinated notes as aforesaid, by means of the expansion of Series K, the (gross) proceeds of which were approximately NIS 594.3 million. The said subordinated notes will constitute part of the Tier 2 capital of the Bank, are linked to the CPI and bear annual interest at the rate of 2.02%, repayable in 2030 with the possibility of early redemption at the initiative of the Bank (and with the approval of the Supervisor of Banks) in 2025.
