("GVC" or "the Company")

Issue of Equity

Following the completion of the acquisition by GVC of Ladbrokes Coral Group plc ("Ladbrokes Coral") (the "Acquisition") by means of a scheme of arrangement under Part 26 of the Companies Act (the "Scheme"), GVC announces that 9,956 new ordinary shares of EUR0.01 in the capital of the Company ("Ordinary Shares") have been allotted and issued.

The Ordinary Shares have been issued in connection with the exercise, following the Scheme Record Time but prior to the Effective Date (each as defined in the Scheme), of share options under the rules of the Ladbrokes Coral Group plc 1983 Savings Related Option Scheme.

The exercise of such options has resulted in the issue of new shares in Ladbrokes Coral Group Limited (previously Ladbrokes Coral Group plc) (the "LC Option Shares"), which have been automatically acquired by the Company in accordance the articles of association of Ladbrokes Coral Limited.

The Ordinary Shares have been issued as part consideration for the acquisition by the Company of the LC Option Shares.

GVC has made an application to the UK Listing Authority and the London Stock Exchange plc for the listing of the Ordinary Shares, fully paid, to trading on the main market for listed securities of the London Stock Exchange and to be admitted to the Official List. These Ordinary Shares will rank pari passu with the existing issued ordinary shares of GVC. Admission of the Ordinary Shares is expected to take place on 17 April 2018.
