Director/PDMR shareholding

Gresham House, (AIM: GHE) the specialist alternative asset manager, announces that, pursuant to the vesting of the 2018 Hazel Team Long Term Incentive Plan ("2018 LTIP"), Benjamin Guest, a PDMR of GHE, has exercised his Put Right (as defined in the Articles of Association ("Articles") of Gresham House New Energy Limited ("GHNE") in respect of all of his vested A Ordinary Shares of 1 pence each in the capital of GHNE ("GHNE Shares").

The exercise will be satisfied in accordance with the provisions of the Articles and the 2018 LTIP by:

   --      the Company purchasing 340 GHNE Shares from Benjamin Guest for GBP4,424,972.63 in cash; and 

-- the Gresham House plc Employee Benefit Trust (the "Trust") purchasing 501 GHNE Shares from Benjamin Guest in exchange for:

o 694,158 ordinary shares of 25 pence each in the capital of the Company ("Ordinary Shares") at a price of 787.5 pence per Ordinary Share; and

o 133,492 Ordinary Shares (which will be subject to lock up restrictions until 31 December 2024) at a price of 787.5 pence per Ordinary Share.

These 827,650 Ordinary Shares will be transferred by the Trust to Benjamin Guest. His resultant shareholding of Ordinary Shares, including those subject to lock up restrictions, is listed below.
