Keith Moss, chairman of the GNE Shareholder Action Group, said the company had been hijacked by minority shareholders who had reneged on plans to pay a 150p a share special dividend from proceeds of a disposal. "We intend to vote down the resolutions at the EGM on March 4," said Mr Moss, who is writing to all GNE shareholders. An investor group led by Martyn Ratcliffe, chairman of Microgen, the software company, seized control of GNE in December after buying a large chunk of stock in the market. However, most of you that took the trouble to examine the Out of Office reply will have spotted the faux pas by our little Miss Sarah, who states in terms that she will be out of the office until "Friday 29 February 2009". 20/2/2009 17:45 | model635 i would check with KM that document served..i understood he was in a position to do so but i have not had it confirmed that they have been served.i also understand that a press release has been issued outling the concerns of the action group so it might get picked up on..especially if mr cawkwell is involved.you are correct model635 not many answers to any queries levied to co or it's advisors that could well be because as you say somebody could have registered a complaint and they have all clammed up.they now know that they have some genuine opposition to change of strategy. the concert party has a strong position but if enough pi's can get a no vote in we could pip them at the post. | kooba | |

20/2/2009 15:32 | not normally the case.most hold shares in nominees these days including myself,this does not mean as a shareholder you are disenfranchised.i simply have to instruct my broker of how i wish to vote [which is not often] and the nominee votes by proxy on my behalf.unless selftrade has specific rules they are being unnecessarily difficult.they would have recieved the documentation and proxy forms and you have every right to vote imo. from selftrade web 'Nominee account' structure enables us to carry out your instructions with minimum fuss and maximum efficiency - whilst you remain the beneficial owner. | kooba | |

20/2/2009 10:44 | i'm not a holder of GNE so haven't followed too closely recently but know the GNE history very well. I was trying to understand some of the items in the circular. For example, how do Hambro fit into all this? They appear to be a key player with their finance director (Warner) coming from JO Hambro. Perhaps Hambro are the pirate captains and Ratcliffe is a deckhand? Why are the Hambro outscourced services a "related-party" transaction?:.... As part of these arrangements it is anticipated that the Company's registered office and principal place of business may change to c/o JO Hambro Capital Management Limited, Ground Floor, Ryder Court, 14 Ryder Street, London SW1Y 6QB. The agreements entered into by the Company in respect of the SML structure and the provision of outsourced services to the Company by JOHCML are regarded as related party transactions under the AIM Rules for Companies. The Directors, other than those involved in the transaction as a related party, having consulted with the Company's Nominated Adviser, consider the terms of these arrangements to be fair and reasonable insofar as Shareholders are concerned. Peter Hambro is the 2nd biggest gold miner in RUSSIA - there's that Russian connection again.
