From the NASDAQ listing rules it would appear not.If a Company fails to meet the majority board independence requirement in Rule 5605(b)(1) due to one vacancy, or because one director ceases to be independent for reasons beyond his/her reasonable control, the Listing Qualifications Department will promptly notify the Company and inform it has until the earlier of its next annual shareholders meeting or one year from the event that caused the deficiency to cure the deficiency. However, if the Company's next annual shareholders' meeting is held sooner than 180 days after the event that caused the deficiency, then the Company has 180 days from the event that caused the deficiency to cure it.The independent auditor is part of the audit committee and therefore there is one vacant position on the committee. Even if the company was found to be in breach of compliance rules it takes five days for NASDAQ to formally notify them of such - but let us hope that a replacement is found without delay.

Seems that it was still ongoing yesterday.
Reads as though Gan dismissed BDO USA then after BDO USA acknowledged, Gan discovered that Bermuda law precludes them from dismissing Bdo-which seems bizarre. I can understand a regulator wanting prior notice and reasons why, but surely they can't enforce a company to use accountants with whom they are dissatisfied?
An explanatory rns or similar is clearly due today to prevent some kind of crash, but no doubt needs to be carefully 'lawyered' first

Does anyone know anything about this 8k form they filed? Dropped nicely when the news came out. Not a ton of shares traded but 10k after hours is a lot for GAN. Anyone know what caused the drop. They switched accountants?

The company hasn't changed, & I'm haapy about that,
but US indices/market are feeling a lot better.
Maybe the re-allocation from tech to value has played out
in which case buyers are returning...

Wynn signs with scientific games in 4 states in USA. Seems like they like GAN for igaming but it's cheaper to use other providers for sports only.

Citywire's David Stevenson is investing in the BETZ ETF, one of whom's holdings is of course GAN. I'd rather just hold GAN:



"The US market for sports betting and iGaming was worth $2.3bn in 2020. Of course, there’s the usual splatter gun of estimates for possible market growth but it’s worth noting that two existing players, Draftkings and MGM, reckon that total market revenues could be around $60-62bn if sports betting and iGaming was legal across all states.

They both expect sports betting to be legal across 65% of population resulting in a market estimate of $14bn, whereas with iGaming these two businesses reckon that it could be legal across 30-35% of the population, resulting in a $13bn market. And remember that whatever works in the US will probably also be exported to Asia or even globally. According to one estimate, global online gaming has been growing at a 11% compound annual growth rate for the last few years.

How big might the sports betting market end up becoming? Morgan Stanley reckons the average spend per adult will be around $45, which compares to Australia’s existing legal market worth $3.3bn or $178 per adult. The UK market is worth $4.7bn or $91 per adult."

doesn't look like either will massively impact GAN immediately, but is evidence of 2 more states going further down the road towards complete liberalisation of gambling
