09/6/2021 09:57 | From the NASDAQ listing rules it would appear not.If a Company fails to meet the majority board independence requirement in Rule 5605(b)(1) due to one vacancy, or because one director ceases to be independent for reasons beyond his/her reasonable control, the Listing Qualifications Department will promptly notify the Company and inform it has until the earlier of its next annual shareholders meeting or one year from the event that caused the deficiency to cure the deficiency. However, if the Company's next annual shareholders' meeting is held sooner than 180 days after the event that caused the deficiency, then the Company has 180 days from the event that caused the deficiency to cure it.The independent auditor is part of the audit committee and therefore there is one vacant position on the committee. Even if the company was found to be in breach of compliance rules it takes five days for NASDAQ to formally notify them of such - but let us hope that a replacement is found without delay. | mip55 | |

Reads as though Gan dismissed BDO USA then after BDO USA acknowledged, Gan discovered that Bermuda law precludes them from dismissing Bdo-which seems bizarre. I can understand a regulator wanting prior notice and reasons why, but surely they can't enforce a company to use accountants with whom they are dissatisfied? An explanatory rns or similar is clearly due today to prevent some kind of crash, but no doubt needs to be carefully 'lawyered' first | shaker44 | |
