Licensed content agreement with Amazon
Games Workshop Group (GAW) has signed an agreement with Amazon Content Services, a subsidiary of Amazon.com, to prospectively develop GAW’s intellectual property (IP) into film and television content and to grant associated merchandising rights, initially focused on the Warhammer 40k universe. The partnership follows the announcement in December 2022 when management said an agreement had been reached in principle. Although the content will mainly be focused on GAW’s Warhammer 40k, Amazon has the option to develop other IP within GAW’s fantasy universe following the initial release. The first year has been set out as a period for creative discussions, after which the agreement will go ahead if both GAW and Amazon sign off on the creative guidelines.

Amazon Deal DoneA year after announcing its 'agreement in principle' with Amazon, GAW has today announced that the deal has been signed to develop 40k into films and TV series. There will be a 12-month period to agree creative guidelines, but we had always anticipated an extended timeline (up to 3yrs) until 40k actually hits the screens. Fundamentally, we think the deal offers substantial long-term upside for Warhammer to build its global brand exposure.Amazon/GAW deal done! Almost a year to the day after announcing the agreement in principle, GAW has today announced that it has entered into an agreement with Amazon to develop the Warhammer 40k universe into films and television series. GAW has granted exclusive rights to Amazon within the 40k universe, together with an option for Amazon to license equivalent rights in the Warhammer Fantasy universe following the release of the initial production. There will now be a 12-month period during which the two parties 'agree creative guidelines' and the agreement will only proceed once these have been mutually agreed by GAW and AMZN. There is no change to FY24 guidance.A positive development, but a long lead to screen. Although we had always been confident an agreement would be reached, this news is clearly a positive development, with some having begun to question progress after the hiatus. That being said, we expect an extended timeline until we see a Warhammer 40k production actually hit the screens. After the 12-month period to agree creative guidelines, the process will include hiring a writer, preparing scripts, finding locations, building sets, filming, production and postproduction. In all, we are of the view that it could be 3 years before a first TV series is aired on Amazon. We also note that there can be a c.2-year gap between seasons, unless the schedule is fully committed and well planned in advance.We have estimated GAW could earn $1m per episode. There are a range of fees that an IP holder and Executive Producer can expect to earn, including an option fee linked to an IP purchase price, Executive Producer fees, and a per-episode rights-holder royalty payment. While there is clearly a high degree of uncertainty, based on an episode budget of $20-30m, we believe the rights-holder could earn $1m per episode, or $10m assuming a 10-part series. Moreover, we should anticipate both fees and bonuses being higher in follow-on seasons.Brand exposure offers substantial upside. We are particularly upbeat on the potential for core brand sales to be enhanced by the exposure of a TV series, believing that the downstream effect on miniatures revenues could be significant. For context, we believe key titles can reach c.20% audience penetration on major streaming platforms - given Amazon has previously reported c.200m Prime members streaming shows/movies, the potential for Warhammer to build its global exposure is clearly a huge opportunity.

On the matter of dividends, during the 12 months commencing 25/11/22, GAW paid out 5 dividends:
25/11/22: 45p
24/02/23: 130p
19/05/23: 120p
11/09/23: 145p
03/11/23: 50p

I make that a total dividend per share of £4.90 for the year.

GAW had also paid out 5 dividends during the previous 12 months, totalling £2.90 per share for the year.

GAW paid out 5 dividends the year before that as well, totalling £2.20 per share.

GAW has a history of paying several dividends a year. The story keeps getting better. imho, this last 12 months has been a record year for GAW dividends.

Based on the dividend per share of £4.90 paid out over the last 12 months and the 18% increase in the dividend that has just been announced, I anticipate a dividend per share of around £5.80 could be paid out over the next 12 months. That's a yield of around 6.5%. based on the current share price. The annual dividend per share might be a bit more and the share price a lot higher in a year's time..

I like GAW a lot but have to say I think its completely delusional to suggest that reconfirming the market forecast for the year ending May 23 (as per the last sentence of the RNS) was the major driver of the share price move following what was primarily an Amazon deal RNS. IMHO the masssive subsequent share price movement was 99% the Amazon deal and 1% from reconfirming they would meet market forecasts.

Had a chat with a NED at the AGM. He mentioned that things are indeed with the lawyers on both sides and are at a pace as expected. Amazon are a behemoth so things take time and whilst there is a single keen "gamer" on the Amazon side he is unable to expedite.

The main GAW priority is that the board do not want to lose control of the IP (he compared GAWs approach with that of the Star Wars franchise losing value with its current over-exposure and that of the Witcher - albeit that was with the indivual original Polish writer) so a speedy conclusion is not a priority.

GAWs DNA is to be here for "ever" so the company are in no rush to conclude a deal on unfavourable terms, especially as the writers strikes mean there is no additional need to rush to conclude any deal.

The board had discussions about how much value is baked in to the current share price from the Amazon "news" (as if you recall the Amazon announcement was made at the same time as a trading update)and their view is that the trading update was more material than the "Amazon news".

Games Workshop Group plc issued a trading update for the three months to 27 August 2023 this morning. Trading was ahead of the Board's expectations for the quarter with core revenue of c.£121 million (2022/23: £106 million) and licensing revenue of c.£6 million (2022/23: £3 million). Profit before tax is estimated at c.£57 million (2022/23: £39 million), driven by healthy growth across all channels. The Group looks set for another year of record net profit continuing its impressive multi-year growth trajectory. The Group’s balance sheet is strong, share price has strong positive momentum. Valuation is a little unhelpful with forward PE ratio at 23.5x and PEG at 22x elevated by the share’s own standards. Consumer discretionary spending could also come into the firing as the UK economy slides into recession. GAW is certainly a share worth owning in the longer run, but remains a share to monitor for the time being...

and since North American sales are greater than UK they should benefit from the US consumer with higher than average disposable income still going strong, plus US revenues while paying UK wages to produce items. Still, that did not prevent GAW share price to fall below pre-covid highs.

Edison is the last on the room who need to downgrade, surprised it is taking them so long.
