Shares available for subscription via your Broker. Looks like i can subscribe for 2 shares for every 3 shares (new shares) that I hold. or equivalent.

Concepta Diagnostics reverses into Frontier shell



Cash shell Frontier Resources (AIM: FRI) has announced the reverse takeover of Concepta Diagnostics. Concepta is focused on women’s fertility and plans to have its first product in the market shortly.



According to CEO Erik Henau, only 70 per cent of women fall pregnant within six months of trying to conceive. For the 30 per cent with unexplained infertility there’s a big gap between hoping to get the timing right during a monthly cycle, and entering into expensive and emotionally draining IVF treatment.



Concepta has developed a test to measures hormone levels quantitatively. This means the results go beyond the ‘yes or no’ provided by existing tests which are benchmarked against the 'average' woman. The test, branded MyLotus, can track the exact hormone levels through a cycle and compare them to previous cycles for that specific individual. This should allow more informed planning and understanding of personal fertility issues.



The product will be sold directly to individuals as a kit with three test cycles and a meter to read the results. A distributor in China has been appointed and the necessary registrations were obtained earlier this year. There’s a placing and open offer to raise £3.5 million which will support the application for European CE marking with a view to entering the market next year. Concepta will then look to launch further tests on the platform. For example identifying stress levels can play a role in infertility and testing for urinary infections would be a logical extension.

AffeMoose - my understanding of the RNS is that the placing price will be £0.075 from this extract:

"The consideration for the Acquisition of £3.026 million is to be satisfied by the issue of 30,343,950 New Ordinary Shares at the Issue Price of £0.075 per share."

Can someone put me straight if this is wrong (ie it's 50% higher than the current SP), so if you want shares why not buy them now on the open market?

Personally, I like rights issues a lot more than simple placings. It shows a regard for share holders. I will be taking up rights.

OK. Done the maths.

Post consolidation (250:1):

Todays share price is 12.75 pence per share.

New shares being issued at 7.5 pence per share

So.....They are being issued at a significant discount to today's price. (31% discount)

So.... this comes down to 'what do you believe'?

1. Share will go up - keep what you have and subscribe
2. Share will go sideways - sell what you have and re-invest when the new shares are priced into the market
3. Share will go down - get out now.

I need to think. What do you lot think?

Ok - so a 250:1 consolidation with nominal value of each Share being £0.025 (2.5p)

Nominal value...was 0.0001

i also note that we can partake in the issue

"13,759,618 new ordinary shares of £0.025 are to be issued in a conditional placing with clawback in an open offer to existing shareholders (with excess applications permitted) to raise up to £1.03m."

But I am not smart enough to know wat th actual price will be if/as/when we get the opportunity.

I may be tempted tbh, but am struggling to know what the price is etc, or how.

Anyone got any thoughts?

I think this is very much worth a punt. The chart is now meaningless as everything is about the future. I would think we will see a new name pretty quickly too. Hope should see a significant increase in the share price in the near term. Nothing to prove until 6 months down the road.
