Amendment to Structured Investment Deed



Ethernity Networks Ltd (AIM: ENET.L), a leading supplier of data processing semiconductor technology for networking appliances, announces that it has today entered into a deed of variation ("Deed of Variation") to the Structured Investment Deed (the "Investment Deed") with New Technology Capital Group, LLC ("New Tech"), the details of which were announced on 17 May 2024 and 15 July 2024 (the "Announcements").

The Deed of Variation provides that the formula to determine the exercise price for the issuance of ordinary shares to New Tech under the Investment Deed shall now be calculated as the average (in pounds Sterling, rounded down to four decimal places (i.e. the nearest one hundredth of a penny) if such price is below or equal to 0.1p or rounded down to three decimal places (i.e. the nearest one tenth of a penny) if it is above 0.1p) of the lowest five daily VWAPs of an Ordinary Share (rounded down to the nearest one hundredth of a penny if such price is below or equal to 0.1p or one tenth of a penny if it is above 0.1p) during the twenty trading days before the receipt of a Warrant exercise notice by the Company, less a 15% discount, rounded down to the nearest one hundredth of a penny if such price is below or equal to 0.1p or one tenth of a penny if it is above 0.1p. All other terms of the Investment Deed remain as set out in the Announcements.

I see STX issued an RNS at 7am this morning. I presume the news contained in that RNS is the reason for the big percentage drop in the STX share price News drives share prices, NOT charts! Something I've repeated, many, many times. Charts are only historical records though "the trend is often your friend". That, unfortunately, doesn't always apply to speculative penny shares such as STX and ENET!

🤣🤣🤣🤣, I justed copied the STX chart and Moving Averages as shown on advfn, Washingmachine. I said I knew nothing about STX and didn't even know what they did! It just goes to show that one should steer well clear, as I do, of very speculative minnows like STX as their sp's are prone to manipulation by pumpers and dumpers.

PS the same applies to ENET. purchaseatthetop appears to be attracted to such speculative shares!

I'm not a landlord and only have a small amount invested in shares (just GPM) so I'm glad Starmer today still sees me as a working person, or in my case an ex working person! 🤣🤣🤣🤣
I'm glad Starmer has clarified and rectified his definition of a "working person" after his disastrous performance when being interviewed (interrogated!) by Sky's Beth Rigney yesterday as it had a bad effect on my sleep last night 🤣🤣🤣🤣
