Separately, KLK has today announced that it has entered into an agreement with BEL for the sale and purchase of the following (the "Proposed Acquisition").
(i) BEL's 50.0 per cent. equity interest in LPD; (ii) BEL's 20.1 per cent. equity interest in EPO, equivalent to 40,260,991 ordinary shares of 1 pence each ("Ordinary Shares"); and
(iii) the assignment of BEL's loans to LPD totaling $608,000. The total cash consideration for the Proposed Acquisition is $21,258,000, which is payable as follows:

(i) 50.0 per cent. equity interest in LPD; 17,429,120
40,260,991 ordinary shares in EPO, representing
20.1 per cent. of the Company's issued share
capital. At a $/GBP exchange rate of 1.60,
this equates to 5 pence per ordinary share;
(ii) and 3,220,880
the assignment of BEL's loans to LPD totaling
(iii) $608,000.00 608,000
Total 21,258,000


Does this read that 20.1% of EPO is worth $21,258,000 ? if so the total value is about $100M ? or £65M

For all long term holders. Funding and future secured. Also worth pointing out the following snippet from this mornings RNS: "The discussions in relation to a potential offer for EPO are ongoing and a further announcement, if required, will be made in due course." So, it seems, the possibility of a takeover is still on the table.

As a result of the EPO Loan and the KLK Loan, EPO and KLK will provide, in aggregate, funds of $4,000,000 to LPD for the continued development of its projects in Liberia. The directors of EPO are pleased to report that this funding will allow LPD to return to normal operations within the next two months.

The Joint Venture Agreement provides for an equity investment in Palm Developments of US$30.0
million (US$7.5 million from the Company through EBGL and the transfer of all of the issued shares
of EBFM, LADC, EPOI and EPOM to Palm Developments and US$22.5 million from BioPalm
Energy) with BioPalm Energy arranging and guaranteeing an additional US$30 million debt facility
(together the "Restructuring and Financing").

Biopalm guaranteed that $30 million and I think I read somewhere that they put their share of the business up against it.

so lots to play for here.

Must make an offer by 13th November I think 28 days after offer period which was 16th October I assume its actual days not business days so get soon but why wait till last day so could be anytime now

Worth a punt on a firm offer if not will drop back to 3p I guess

linslader i'm not worried as i do think this will be double digits as soon as bid is confirmed but just a tad annoyed no liquidity as CNEL is 3.5 bid now?

thats the trouble with iliquid stocks you cant easily trade in and out until volumes pick up.

could have bought CNEL at 1.65 and they are now 3.9 bid that would have been like profit on buying Pal at 5.5 and selling PAL at 15.3

so this owes me now!!
