I’m in the same boat as this is a life changer. Hadn’t done the stock market until 2 months ago. Made a few bob with small investments. Seen this and went head first after doing a fair bit of research. The crucial thing is the guys are experienced players in the financial side of the business so I have no worries with this as we’re in safe hands. The other major factor is the Moroccan government are pushing this project so full permit and all the ancillary reports etc for the project will be a formality so hopefully we’ll all be very wealthy people in the next 18months or so. If there’s a takeover play we’ll still be quids in as HL and the board know the value of this project and they’ve now got the ball at their feet to negotiate a great deal for them and the rest of us.

I really think so to on the OCP points. More constructive discussions will be had in the coming weeks I think around financing the build and partnering up. I think it’d have to take something very special to takeover now. I think HL can see more value once he gets it to production stage so I think that’s really what he will push for as he knows then the whole thing is much more valuable as it’s real. I think once then HL gets it production ready OCP will buyout. Does anyone have a feeling of what the SP would be once at production stage?

The closing remarks by Hayden in the Crux interview suggested to me that shareholders were more likely to accept a takeover than want the company to proceed to production. I would guess that's one of the strategies that Hayden will be pursuing, apart from finance discussions.

sportbilly, it won't be his decision, we just don't know what value the main shareholders and the Board would accept, and at what stage towards production. It certainly won't be down to people here! apf speculated that an early approach immediately post-DFS would need to be at least 30p, I personally agree with that. (But I can't know how the Board would react to such an offer, were one to arise.) The longer the project progresses and is derisked, the higher the offer has to be obviously to be successful. But the 30p figure was really in the context of how affordable Khemisset would be for OCP, given its published cashflow figures. OCP is sufficiently profitable that it can certainly digest the project, should it make a takeover approach - £1.30 or whatever. As such, I think OCP is in the lead for some kind of deal with us.
Excellent find. OCP's EBITDA in Q1 was $345 mn, so total capex of Khemisset is approx 3.5 months' cashflow. Acquiring EML at the speculated minimum takeover price post DFS of 30p per share, plus capex, is equal to six months' EBITDA.

I agree, my guess is a deal (offtake, takeover, etc) will be done either with the local company OCP, or the Chinese. It seems China is already Morocco's third largest trade partner, and it is already a major investor in Moroccan industry.

It’s very rare for companies to offer multiples of the share price to acquire businesses. It’s risky for management should the acquired business fail to deliver; pretty much a career ending move. And as mad foetus says, EML management know they have the potential to add an enormous amount of value to the business this year via the completion of the Feasibility Study and progress on funding. I would expect any offer for the business to be a fairly fixed uplift percentage wise to the share price at the time of the announcement. As such, EML has at least the whole of 2020 to add value to the business, before they contemplate accepting offers. Personally, I think a takeover within the next two years is the most likely scenario.
