The smart money got out on friday afternoon. Sadly, i'm not that smart! But i've sold 1/4 of my large position at each of 1847 and 1878. Half left. I'm not waiting several months for the full price.

-- Bidco has agreed that: (a) any Permitted Interim Dividend, being an interim dividend of up to 17.60 pence per EMIS Share and (b) any Permitted Final Dividend, being a final dividend of up to 21.10 pence per EMIS Share, may each be declared and paid to EMIS Shareholders without any reduction in the Consideration.

-- If any Permitted Interim Dividend exceeds 17.60 pence and/or any Permitted Final Dividend exceeds 21.10 pence, Bidco reserves the right to reduce the Consideration by an amount equal to such excess amount.

-- If the Effective Date occurs prior to 7 October 2022, there will be no Permitted Interim Dividend and no equivalent payment will be made to EMIS Shareholders by Bidco. If no Permitted Final Dividend is declared and paid or becomes payable prior to the Effective Date, no equivalent payment will be made to EMIS Shareholders by Bidco.




So if taken over before 7th Oct there will be no dividends. Given that we have been paid the final dividend last month , they have 4 months to avoid an interim divi. Assuming all goes through and no counteroffer.
Sp has risen back this morning to about 1875, so I wonder how much point in holding out for another 50p when the market is depressed and buying opportunities elsewhere?

annoying that this is falling to a giant American corp, utd health, would have thought their annuity-like, index-linked income stream and positioning in the NHS would have attracted interest of a British company or UK private equity...or even pension funds.

no mention of the takeover in several quality papers today, even though this is one of the largest, most liquid companies on AIM, guess the journalists buzz off early on a sunny Friday!

anyone any ideas for liquid, steady alternative IHT free companies on AIM or Aquis exchanges for reinvestment?

Full details of announcement state the bidder has only received irrevocable acceptances for 0.2%; Octopus and Evenlode have only given INTENTIONS to accept re their aggregate holdings of 13.6%. Presumably the latter two funds only provided "intentions" to accept to avoid any deterrent to a counter offer. I suggest there is therefore virtually no deterrent for a third party to make any counter offer.

Re the counter offer...the announcement says they have irrevocable undertakings of 13%....and it's a recommended offer. So is a counter offer even a remote possibility?

How will you get the Final div ? That's not due to be declared until Mar 23 and this is due to be wrapped up in 22. Or is that previous timetable now out the window?

Bid was always a possibility and this looks a takeout price but I wouldn't discount a counter offer immediately

If I'm right - after a quick glance at the RNS - it seems that EMIS will also be able to pay both the interim and final dividend for the current year at a combined rate of up 38.6p per share.

That adds considerably to the effective take out price.

Congrats to all holders. I used to hold at about £6.00 and sold around £11. Was actually looking at them recently as potential re-entry, but didn't act as while a takeover was always possible, it's such an in bedded business I thought, wrongly that a bid was unlikely to get through the NHS.

Good company though and built a very decent business.

Wow that was a good end to the week; the takeover possibility has always been in the background but this came out of the blue; the share price has meandered for the last 2 yrs but there wasn't a suspicious rise ahead of the announcement. Nice to see the absence of a leak.
