I can't find out much about Blenheim Engineering or its directors so I don't know if this deal is dodgy, fair or poor. At least it's at a profit over book.

Stephen Hinchliffe bought Beauchief Hall for 725,000 and sold it to EDP for 1.75m three years later IN 1988.



so lets look at what its really valued at:

A property located in UK which was valued at £1750000 in Q2 of 1988, would be worth approximately £6034041 in Q2 of 2010.

So they wish to sell for only £2.3 million - something smells very bad here, I hope Spencer Crooks takes a long look at this situation

We probably need to get together and apply some pressure as the instos are unlikely to push for anything to happen and the market cap is very small especially after the tender offer two years ago at 50p has probably cleared a few out. It does leave more value behind for the rest of us though.

I've kept an eye on these for ages. What does such a small company need such a grand head office for anyway? Is Jack Petchey still a major shareholder?

They ought to move to more sensible leased premises, sell the head office and return the cash to shareholders imo.

EDP interims just out ....

I am looking at the balance sheet and wondering just how much their HQ, Beauchief Hall, is worth at current market valuations ?

If you look in last years Annual Report you can see it is held at the 1988 historical cost of 2.45m plus capital additions over the years of 4.577m less accumulated depreciation to make a book value of 5.8m ....

Last years Rateable Value was 80,500 so capitalising at 5% yield would give it a value of 16.1m and capitalising at a more conservative 7.5% would still give 10.7m.

Company mkt-cap is 5.6m with the shares at 45p ....

Anyone have any thoughts on this? It looks very cheap.

I think a few have realised that the steady growth in eps and NAV are good for us long term so why sell and move on and exactly the point where we can benefit after all these years.

The company has been doing well operationally, has lots of cash and property assets so why would we want to give up now ? Any shares bought in below NAV under the tender offer will improve the discount and future returns for the rest of us.

By my calculations they should be able to pay 90p per share with all the cash and property on the balance sheet. As the business seems to be on the improve I will be happy to see it through without a buyout though so they had better offer a decent price or NO deal. The chairman has 10% so I doubt he will be a push over.

I must say that it does seem rather cheeky to try to do a buyout just as the operating business is starting to make real profits as opposed to interest on the bank account propping up the eps !!

They know that investors are battered and bruised and may give in to a cheaper take out price. I suspect the share price will slide from here as time goes by and they will take months before any news then try for a 25% uplift on the bombed out price at 65p or thereabouts.

Very clever,steal the company for a song in the middle of market turmoil.
New it would come once Wassel was in the seat but caught out by how quickly they have moved.
the price needs to be well north of 60p though

not bad jump today!.... 10% profit in a day ...not bad..

not sure if I should sell or wait for any more news + divi of 10%
have a feeling this might drop by end of day...


Also will the divi still stand if there is a management buyout in the time before ex divi and payment?
