23/9/2019 21:23 | Soarx Limited Just had a look at the investment in the above company (taken from the financial statements page 4 & 5 and from info available via Companies House Beta). Personally, I think this one stinks a bit! Let's have a look at the facts: 8PG acquires a 25% stake in Soarx at a cost of £ 125K. Soarx's main, and as far as I see only asset is the intellectual property purchased from the administrator of iCyber-Security Professional Services (which was in liquidation) for £ 125K. It seems to me that Zaf has overpaid for the share in this business. Zaf could have picked up the whole asset from the administrator for circa £ 125K, but rather chose to use 8PG money to buy only a quarter of that asset for the same price. Unless I am missing something, this does not seem to be a great piece of business? Further, the directors of the liquidated company (iCyber) included Am Essomba and also N R Frankel. While the company was under their stewardship, the company racked up a net asset deficit of £ 482K (per the last filed accounts to 31/12/2017). We can therefore assume that this company was going nowhere, because if they were, banks, etc, would have likely been willing lenders? Now what do we have, the new company Soarx with directors, Zaf along with Messrs Essomba and N R Frankel? But according to page 3 of the 8PG financial statements we have witnessed the greatest comeback since Lazarus, not only has this Soarx intellectual property asset proved a good investment, apparently 'rapid progress' has been made enabling 8PG to further increase the valuation of the 25% stake up from £ 125K to £ 534K? This over a short space of time for an intangible asset that probably was influential to the liquidation of the company the previously owned it. Unfortunately, and I hate to say but this latest valuation sound like pish to me! But never mind the aim is to list Soarx, potentially on Nasdaq (per 8PG company webpage)? Personally I simply cannot see this intangible asset being worth £ 534K, especially something which really cost on a monetary basis £ 31,250 (25% of £ 125K purchased from the administrator of iCyber). | belt n braces | |
