the Lone price is now getting close to the price on the 5th Sept..so I'm hopeful we won't be far off the 64p.

Co been remarkably quiet, & I didn't even see a spike in LONE volume yesterday. Not chasing them as I no longer hold, but price achieved for LONE is at least of academic interest.

I think it's "halted" pending the result of the AGM (which will be for the winding up), so only one MM quoting on a 12.5p spread. Hence HL taking the bid price.

I see Lone price is up today, hopefully thats going to help. although Hargreaves Lansdown have just altered down the valuation of my EFR shares to 62.50, not sure what they have based that on.

70p close was just a 100 share UT, fwiw.

At current LONE price, and adding a small discount, I reckon c.76p back in total. Is p*ssing in the wind until the required number of LONE actually been placed mind.

@Pejaten - my issue too, have now sold pretty much all. On the plus side - Weiss appear to be acquiring, & you can get a good price over 70p. No advice intended :)

Well that's nice and clear (not):

"The Board of Directors of EF Realisation Company Limited (the "Company" or "EF Realisation") wishes to clarify one aspect of the Proposals which has arisen since publication of the Circular.

The Circular states that, subject to obtaining the requisite Shareholder approval, those Shareholders holding 75,000 or more shares in the Company ("Shares") as at the Record Date (referred to as "Qualifying Shareholders") will receive an in specie distribution of Lonestar Shares on a pro rata basis in accordance with their respective holdings of Shares.

When determining whether a Shareholder holds the requisite number of Shares in order to be classed as a Qualifying Shareholder, the Company's registrar will only look at the registered holding of the Shares on the Record Date (being the close of business on 24 September 2018). As the registered holding is ascertained by reference to the nominee name which appears on the Company's share register, whether or not a Shareholder is a Qualifying Shareholder shall be determined solely by reference to the holding of the Shareholder whose nominee name appears in the share register. The Company's registrar will not look through to any beneficial holdings of Shares.

It has come to the attention of the Company that certain registered shareholders hold Shares as nominee for a number of beneficial owners and certain of those beneficial owners may have less than 75,000 Shares. In these circumstances, the registered shareholder (or the relevant broker or representative) should seek instructions from the relevant beneficial owners as to whether they wish their nominee to continue to hold any of the Lonestar Shares which are distributed in specie in respect of their beneficial holding or to sell the relevant Lonestar Shares on the beneficial owner's behalf. In such cases the relevant broker or representative should arrange for the Lonestar Shares to be sold on behalf of the beneficial owner following the completion of the in specie distribution. "

yes that sounds like it would have been a more sensible strategy, but then I guess you only know that you reached a high with hindsight, they may have expected share to go even higher, and then shareholders would have expected more and held them to account for not selling on the actual day..I've decided to up my share holding in any case, as it seems that worst case scenario is to break even, but there is potential upside. They may have been cautious with the 22p valuation on the other holdings in order to allow for downside on Lone....she says hopefully with fingers crossed (never a good investment strategy!)

Last time oil was this high, LONE was making those highs around $11. I don't feel the management of EFR have got this one right - how difficult would it have been to drip-feed the c.240k shares of LONE they believe they need to sell into a rising market, then declaring what they had planned re the in specie distribution to larger shareholders.

If it got voted down - so what - they'd own a few less LONE, and would have to sell the rest anyway.

As it is, they've basically told the market "We're going to be selling some".

The counter-argument is that the market knew (or should have known) that even more LONE were going to be sold, and so should have priced it in. The c.$1/share fall in LONE when the oil price has been rising suggests not.

This was based on LONE at $8.94 bid price:

"-- Qualifying Shareholders would receive the equivalent of 64.0 pence per Share, based on the Lonestar bid share price and the exchange rate at the Latest Practicable Date, by way of a distribution of Lonestar Shares as soon as practicable following the EGM to be held on 24 September 2018, and expected cash proceeds equivalent to 22.1 pence per Share over the course of the liquidation as the unquoted investments are realised over the following six months depending on the ultimate realised value of the investments."

Currently $7.97, but LONE could go up or down over the next week or so - oil's been fairly perky.

thanks for reply SpectoAcc, I wonder whether the 64p valuation is based exactly on the Lone price on that particular day, or whether they discount it to allow for contingency?

@looloo1 - two risks as I see it:

1. They get less for the remaining 2 holdings (c.20p NAV) than they expect, or it takes them even longer to get the money in. Both seem minor risks
2. What price they achieve for a big block of LONE. Possibly a smaller block now, with Weiss having bought so many. But all the same, it's already off over 10% from where they made their "64p" calculation. Could it drop another 10% in the next week? Maybe.

But - downside seems limited at least.

Suspect the best deal is being had by those with over 75k who can hold LONE.

hi, I'm a bit late to this, I had EFR shares languishing in my SIPP since the re-structure last year, and have just yesterday had the email from Hargreaves Lansdown advising me of the closure. I'm wondering, my holding is small, I have some cash in my SIPP that I don't mind tying up for 6 months, providing I stay below 75,000 shares, is there much downside to buying at todays prices for what looks like 20% upside? just trying to weigh up the risk...any views appreciated.

Weiss the buyer it seems, doubled from 12% to 24%. Sold more yesterday & was getting well inside the spread, despite LONE having come off a bit. Just a few 75k's left.

They probably looked at the share register to get to the 75k limit, so looks like you may have been one of the few to lose out. Still, you haven't done too badly by the sounds of things so maybe look at the positives! I only had a small holding, but its a small loss versus the original base cost. Personally, I'm glad to exit and invest in something better.

What they should have done - and I've told them as much - is to offer the option for those who are completely unable to hold LONE shares (due to their broker) to take a cash alternative. If (as they have done) they've spoken with the largest shareholders, who are not only happy to take LONE but in some cases actively want the LONE shares in specie, offering a cash exit even at a discount to those stuck would have been sensible/fair.

If they've done it with a totally arbitrary 75k shareholding limit, they could have structured it giving the cash option, perhaps giving those who want LONE the opportunity to take proportionately more.

EFR's been a tidy winner for me but been through variously 2 years hell with it & deserved more :)

74p NAV reported but not particularly relevant with the planned uplift from lower realisation costs.

Have had reply from co but have completed reluctantly selling down my SIPP holding to below 75k shares - not the end I was hoping for in truth. Interestingly, there must be a decent buyer in the market as the price has been going up the past few days, into my selling.

Don't feel I can copy/paste EFR's comments on here but easy enough to speak to co or message me.

Possibly the only way. Takes some costs out, gives larger holders the option of when to sell LONE (or whether to keep it), which presumably the larger ones are happy with after speaking to the co.

But - and for me it's a big but - not all brokers will be able to take LONE shares. Emailed the co to find out why they've not considered that. Most EFR holders will be UK-based, and unless you're with a broker who happens to accept Nasdaq-listed smallcaps, what then? The 75k limit will cover quite a few - but not all.

New out! Won't be of great surprise to anyone who's spoken to the co, though I'm slightly disappointed in the potential realisation going out as far as June. But pleasantly surprised by the potential of c.86p.

One thing's for sure - LONE's share price will move around considerably before the end of the month, because it always does, and impact the figures. Still: having seen the volume on LONE, this seems the best way forward.


"Based on a Lonestar bid price per share of US$8.94 and foreign exchange rates on the Latest Practicable Date, the impact of the Proposals would be to return to Shareholders an estimated GBP38.7 million or 86.1 pence per Share of value. This is 11% more than the NAV of 77.75 pence per Share on the Latest Practicable Date which reflects the lower expenses that are expected to be incurred in implementing the Proposals than had been allowed for in calculating the NAV as at the Latest Practicable Date.
