Variation to Investment Management Agreement

The Company and Edge Investments Limited, the Company's investment manager (the "Manager"), have agreed that the performance incentive fee (the "I Share Performance Incentive Fee") payable to the Manager in relation to the I shares of 10p each in the capital of the Company (the "I Shares), as set out in the discretionary investment management agreement between the Company and the Manager dated 8 November 2013 (as subsequently varied), shall cease with effect from 31 August 2016. The removal of the I Share Performance Incentive Fee is conditional upon the Company and the Manager acting in good faith and using all reasonable endeavours to agree alternative performance incentive arrangements in relation to the I Shares.
