10/10/2013 13:07 | PROPOSED EXEMPTION As at LPD, Simon Loh is the largest shareholder of GHL with a total direct and indirect shareholdings of 55.69 million GHL Shares, representing approximately 30.64% of the issued and paid-up share capital of GHL (less treasury shares). Simon Loh is also the largest shareholder of EPY with indirect shareholdings of 35.07 million EPY Shares, representing approximately 61.60% of the issued share capital of EPY, held via his wholly-owned company, Tobikiri Capital Limited. Pursuant to the Proposed Acquisition, and assuming the Offer is implemented and Simon Loh accepts the Offer in return for GHL Consideration Shares, Simon Loh's direct and indirect equity interest in GHL may increase up to 54.69% upon completion of the Proposed Acquisition and excluding the impact of the Proposed Share Issuance. In this event, pursuant to the provisions of the Code, Simon Loh and his PAC will have an obligation to undertake a mandatory takeover offer for all the remaining GHL Shares not already held by them. 10/10/2013 11:34 | Freddie, The way I am reading this is that we are being offered 2.75 shares in GHLSYS for every EPY shares we own. At a rate of @5:1 between the Ringgit and the £ I can see that the total value on offer from the new shares is pretty much on a par with the cash offer from them at 40c a share, in fact they are almost identical (albeit I have converted Aussie Dollars to the £ etc etc etc). On that basis, unless we see a big shift in the price of GHLSYS there seem little attraction to take the shares instead of the cash for me at least. The current bidder is listed on the main market of the Bursa Malaysia Securities Berhad, I am not sure if that counts as a main market for ISA purposes also I am not yet sure if I could trade on that exchange through TDW, anyway if you want it you have the option of 2.75 GHL for one EPY. It is interesting that the two boards share directors, and the IBC (independent board committee) comprises only two directors. The IBC is not due to report until December so there is good time for other parties to enter the fray. | freddie ferret | |
07/10/2013 09:44 | At $1.7AUS to £1GBP that makes the share price around 23.5p......so after all these years of sitting on huge losses, this bid price plus the large special dividend we got previously means my losses here have narrowed considerably....had it got to 50c on the bid I would come out with profit....still happy to be here rather than at 13c and no big dividend after all this time...and maybe we might see another bid yet.....all in all a reasonable outcome from the nightmare that was EPY not so long ago. | monkey puzzle | |

Bid offer made for EPY at 40c per share.....due to complete in Jan 2014 and looks like a done deal to me unless a superior offer materialises....Loh has committed to accept via his TCL holding of 20% and a further 40% seem to be in the bag too leaving just 40% unnaccounted for.....so we will get a nice New Year cheque in the post or sharehodlers can opt for shares in the company proposing the takeover...see details below: | monkey puzzle | |
