NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS EXERCISING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

LTIP Award Exercise by Nick Wilkinson

Dunelm Group plc (the "Company") has been notified by Nick Wilkinson, Chief Executive Officer, that on 7 November 2022 he exercised 152,025 nil cost options over ordinary shares of one pence each in the Company. These options were granted to him on 16 October 2019 under the terms of the Long-Term Incentive Plan. Mr Wilkinson has sold 47,104 ordinary shares at a price of 927p per share to partially fund the tax and national insurance due in respect of this exercise, the remainder of his tax liability will be settled in cash. By paying part of his tax and national insurance liability in cash rather than by sale of shares, Mr Wilkinson has satisfied his obligation to invest two thirds of his cash bonus received for the FY21-22 financial year (after payment of tax and national insurance) in Dunelm shares, as set out in the approved Remuneration Policy. Mr Wilkinson will retain the balance of the shares in accordance with the shareholding guidelines set out in the approved Remuneration Policy.
