20 May 2013 DUNEDIN ENTERPRISE INVESTMENT TRUST PLC RESULT OF tender offer The Company announces the result of the Tender Offer set out in its circular to Shareholders dated 16 April 2013 (the "Circular"), which closed on 17 May 2013 following Shareholder approval at the annual general meeting of the Company held on 17 May 2013. 18,050,617 Shares were validly tendered under the Tender Offer. As a result, all valid tenders will be satisfied in full up to the Basic Entitlement and, following application of the scale-back mechanism (as set out in the Circular), tenders in excess of the Basic Entitlement will be satisfied to the extent of approximately 1.1796 per cent. of the excess Shares tendered. Accordingly, 2,631,575 Shares will be purchased at a price of 475p per Share, resulting in a total cost of approximately £12.5 million. As set out in the Circular, the Shares in respect of which tenders have been accepted will be purchased by Cantor Fitzgerald pursuant to the Tender Offer and the Company will buy-back such Shares from Cantor Fitzgerald. The Shares bought back by the Company will be cancelled, reducing the Company's issued share capital from 25,754,635 Shares to 23,123,060 Shares (none of which are held in treasury). Accordingly, with effect from 21 May 2013, the total number of voting rights in the Company will be 23,123,060, and this figure may be used by investors as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules

Then don't tender and leave more for me! No seriously, I always tender entire holdings as you can sometimes get a bit more if in a pooled nominee. I am a happy holder of these but we have already seen the easy money after the rerating from 200p and various tenders and special dividends.

It does but you leave some money on the table if you tender

Yield search, it boosts NAV and let's people exit if they want to.the shares should trade at a 10% discount so happy with the terms. 12% of assets so it is worthwhile. Relieved I added the other day at 400p.

I keep getting bid 415p by institutions but I want 430p+ to tempt me to reduce. Perhaps they will move out of the 410p-420p range soon?

It is encouraging that Dunedin has managed to raise funds for the latest buyout fund. This was the main bear case for the group but management are once again proving themselves worthy of the faith we have placed in them. In short, I may be a potential seller of dne at some point but I am increasingly more relaxed with a 400p+ share price.

Can I just ask how peoples brokers_ handled this. This is the second tender for DNE for me in the same _account. Last time they did what I would have done, scaled the Original Book Cost down in proportion to the shares tendered. This time they have just zeroed the Original Book Cost. So I will have to write another letter to them telling them what to set the cost to. I have done this before in other situations. Apparently the IT platform_ isn't up to doing the job automatically. Is it that some staff at brokers do not know how to do this, or they just can't be bothered?

Got 7% from Sippdeal and sold my balance @ 411p today. I always sell too early but was feeling uncomfortable @ 100% invested, so sold both my DNE & FPEO. Yet again, good profits from Private Equity. GLA - sure I'll be back - perhaps higher up!
