AGM Update and Postponement of Capital Markets Event

Dev Clever, a leading developer of careers development, user engagement and immersive experiences, will be holding its first Annual General Meeting ("AGM") at 11:00 am on Thursday, 26 March 2020.

As a result of the outbreak of the coronavirus, COVID-19, and in line with the latest restrictions on public gatherings imposed by the Government, the Company wishes to notify its shareholders that attendance at the meeting in person will not be possible.

With the aim to ensure the well-being of colleagues, customers, shareholders and residents, the Board is adopting the following measures:

-- There will be no management presentation, however, the results of the voting on the resolutions will be published after the AGM in the usual way.

   --    All external advisers have been requested not to attend the AGM in person. 
   --    Half of the Board members will not attend the AGM in person. 

In addition, recognising the importance for shareholders to be able to ask questions, the Company is requesting that shareholders and shareholder representatives submit any questions they have to the Board at [e-mail] in advance of the AGM so that a response from the relevant member of the Board can be provided.

The Company will also be investigating the possibility of hosting a virtual conference question and answer session for its shareholders in the near future. Where appropriate, and unless any questions submitted to the Board have been answered before that conference, the Board will aim to answer the questions received at the conference.

Please be aware that neither submitting questions to the Board nor participating in a virtual question and answer session will be counted as being present at the AGM or as voting at the AGM.

The Company also announces that its Capital Markets Event that was due to be held on 31 March 2020 will also now be postponed as a result of the impact of COVID-19.

A new date will be communicated when appropriate. In order to keep investors and other key stakeholders updated, the Company will be adding a new presentation and some relevant video material to its Investor Relations website in due course.
