There are also issues in being dependant on a small number of customers for business. If one of these goes elsewhere, or wants better terms of trade, or even more extended credit then DFX is not in a strong position to refuse

I think the concerns around trade receivables and capitalization of development costs are well known. But the cash flow is really not that bad and the company didn't have any problems to raise a 2MM from institutional investors at a higher price than what people sold for. The bond issue is well underway, too.

So this looks like slightly naive or panicked selling to me.

I wouldn't be surprised to see some 8/9MM revenue with minimal net positive cashflow for 2017. At this price it would be a steal.

The company may show an increasing level of sales and profit. However the size of trade debtors, and amount of capital expenditure means that they will need more and more cash. A classic case of accounting profit, but cash flow loss as far as I can see.

Not too much of a discount and only 7% of share capital so dilution is minimal.

Can anyone explain the below?

"In addition, the Company has granted the Broker Option to WH Ireland so as to raise up to a further £450,000 before expenses in order to enable WH Ireland to deal with additional demand received after the closing of the accelerated book build process"

Does this mean they can issue further shares up to £450k after the book build? Is this likely to depress the price (or at least hold the share price back) as extra stock hits the market?

Any salient advice welcome!

Issue of Secured Convertible Bonds to raise up to £2 million



Defenx PLC (AIM:DFX), the cyber-security software group, is pleased to announce a proposed Fundraising to raise up to approximately £3.37 million (before expenses) comprising approximately £1.12 million under a Placing and £0.25 million under a Subscription by BV Tech at a price of 160 pence per share, and up to £2 million through the issue of Secured Convertible Bonds.



Highlights:



· Proposed Placing of approximately £1.12 million before expenses at a price of 160 pence per share

· Subscription by BV Tech for up to £250,000 at a price of 160 pence per share

· Placing being conducted through an accelerated book build process which will open with immediate effect following this announcement and is intended to close at 7.30 a.m.

· In addition, the Company has granted the Broker Option to WH Ireland so as to raise up to a further £450,000 before expenses in order to enable WH Ireland to deal with additional demand received after the closing of the accelerated book build process

· Proceeds to be used to accelerate the Group's growth plans, as further detailed below

· Placing Price represents a discount of approximately 13.75 per cent to the closing mid-market price of Defenx's existing ordinary shares of 185.5 pence on 4 August 2017

· Placing and Subscription Shares, assuming full take-up, will represent approximately 7.2 per cent. of the Company's existing issued share capital

· Further details of the Placing are set out in the appendix to this announcement

Strange they didn't state the reason for the placing? Normally they specify what the cash is for, have I missed something?

I'd guess its to cover the integration costs.
