Total Voting Rights

In accordance with Chapter 5 (Vote Holder and Issuer Notification Rules) of the Financial Conduct Authority's Disclosure Guidance and Transparency Rules (the "DTRs"), Darktrace plc ("Darktrace") makes the following announcement:

As at 30 December 2022 Darktrace had a total of 719,705,647 ordinary shares of GBP0.01 nominal value each issued and admitted to trading and each share carries the right to one vote (the "Ordinary Shares").

Darktrace holds 1,490,066 Ordinary Shares as treasury shares with no voting rights.

Therefore, at the close of business 30 December 2022 the total voting rights figure of 718,215,581 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Darktrace under the DTRs.
