Liquidation of the Company
At the general meeting of the Company held on 4 May, 2016 the resolution put to shareholders that the Company continue its business as a closed-ended investment company was not passed. On 23 June, 2016 the Company announced that the directors intended to commence an orderly realisation of the Company's assets.
Following that announcement, the Board of directors of the Company (the "Board") has realised as much of the Company's investment portfolio as possible for cash and have returned this cash to shareholders periodically by means of a compulsory redemption of a portion of each shareholders shares pro-rated to their then percentage holding in the Company. Since commencing that process, the Company has returned a total of approximately GBP68.5 million to shareholders.
At a Board meeting held on 29 January, 2018, the Board resolved to make further proposals to shareholders in general meetings, pursuant to which, subject to shareholders' approval, the Company's final investment assets will be either realised or distributed to shareholders in specie, with a final distribution via a compulsory redemption of a portion of each shareholder's shares being made in late March, 2018, after which shareholders will be asked to vote the Company into members' voluntary liquidation at the end of March, 2018.
Further details of these proposals will be included in the Company's annual financial report for the year ended 30 November, 2017, which is expected to be published in late February, 2018, together with a notice of the Company's annual general meeting, at which shareholders will be asked to approve the Board's proposals.
Overview
The Company is a Guernsey registered, closed-ended investment company, whose shares have been admitted to trading on the Specialist Fund Segment of the London Stock Exchange's Main Market for Listed Securities.
