Nothing in the "immediate" future means no deal is yet committed. That could very easily change in a matter of days. It most probably won't.....but it could.....

With the two director buys this week indicates good and bad news.
Good
No placing in the immediate future
The share price is cheap
Confidence in the company
Bad
No order announcement in the immediate future.
My take is you will make a lot of money in this company but not for 18-24 months

Worth noting that H. Berry has now put in £223k over the last 3yrs or so. Also that he was involved in the Connode deal. I suspect he has a very clear and good view of the big picture here.....

Looks like a concerted effort to support the share price and creditable as they are increasing skin in the game. Also once could interpret this buying as a sign that a further fund raise in not immediately on the cards....

Harry Berry commented: "As a Non-Executive Director, I would like to echo the comments that John Cronin made in the announcement of his GBP50,000 share purchase yesterday regarding the strong fundamentals of the business today. We have now built a world class development and delivery organisation and the value of this has directly resulted in the follow on orders from Tata Power and in Bangladesh. With additional orders booked and a world class delivery team in place, I also viewed the recent share price weakness as a buying opportunity and have therefore demonstrated my continued commitment and support through this additional share purchase."

I wouldn't be surprised if Peter Hutton buys a tranche next !

Good to see another Director buy today on the back of the JC buy of £50k yesterday....

CyanConnode Holdings PLC

23 June 2017

CyanConnode Holdings plc

("CyanConnode" or the "Company")

Director Shareholding and Issue of Options

CyanConnode (AIM:CYAN.L), the world leader in narrowband radio mesh networks, announces that Harry Berry, Non-Executive Director, has purchased 14,000,000 ordinary shares of 0.01p in the Company ("Ordinary Shares"), at a price of 0.14 pence per share.

This brings Harry Berry's interest in the Company's current issued share capital to 110,559,292 Ordinary Shares, being approximately 0.62 % of the current issued share capital. The total amount invested to date in the Company by Mr Berry has increased from GBP203k to GBP223k.

This purchase is following the share purchase yesterday by John Cronin of GBP50,000 and the investment made by all Directors and certain senior managers in the Company over the past 12 months whereby Directors have used 100% of their remuneration to purchase shares in the Company at the July 2016 placing price of 0.18 pence per share. The amount invested by Directors and certain senior managers under this arrangement was GBP0.7 million, and was in addition to GBP0.3 million invested by Directors and senior managers in the Placing in July 2016, bringing the amount already invested in CyanConnode shares by the Directors and relevant senior managers over the last twelve months to GBP1 million.

Furthermore, pursuant to the CyanConnode Non-Executive Share Plan, which is detailed below, and following the above purchase, the Company will now grant options over 14,000,000 Ordinary Shares with an exercise price of 0.14 pence per Ordinary Share to Harry Berry. Following this grant, Harry Berry will hold options over 151,422,941 Ordinary Shares, of which 26,000,000 options have been issued under the Non-Executive Director Share Plan set out below.

CyanConnode Non-Executive Share Plan

The Board has adopted a share subscription and option plan in order to retain and attract Non-Executive Directors.

Existing and future Non-Executive Directors will be offered the opportunity to purchase up to a maximum of GBP200,000 for Ordinary Shares at the then current market value and receive an associated grant of options over an equal number of Ordinary Shares at the same market value.

The key terms of the subscription and options are as follows:

-- The Non-Executive Director would decide the number of Ordinary Shares that he or she wishes to purchase (up to the maximum subscription of GBP200,000) at the then market price.

-- The Company will grant the Non-Executive Director options to subscribe for an equal number of Ordinary Shares exercisable at the same market price per share.

-- The options will ordinarily be exercisable only after the fourth anniversary of the date of grant.

-- The options must be exercised in any event prior to the tenth anniversary of the date of grant.

The options may be exercised in full prior to the fourth anniversary of the date of grant in the event of a successful takeover of the Company

The information communicated in this announcement is inside information for the purposes of Article 7 of Regulation 596/2014.

my point is that while I understand the need to bolster the price the options are a rape of other ordinary holders.

Cronin might also have added that the recent sterling weakness raises the GBP value of foreign earnings and makes UK costs more competitive. It also makes the company even cheaper for a foreign buyer.......

A know of no reason RNS considering the near 40% fall since results might have been a more investor friendly way of reassuring loyal and long suffering holders here, many must have sold out of fear and boredom.

Sorry to hear about your unlucky timing.

For the remainder of your holding let's hope that today's earlier share price movement represents some sort of capitulation that results in a strong rebound then...

The purchase would have looked better if there had been no options.

Shortly before I had sold my kids holdings for a 35% loss. Really getting frustrated. I hold 40M average .25p

Took a few earlier on a speculative basis. Luckily it was just before the £50k Cronin share purchase was announced along with his comments -

"Having already invested £0.8 million of my own money in CyanConnode equity, I have today made a further investment of £50,000. Over the last week we have announced two solid customer orders, the Queen's speech to Parliament ratified the UK Government's commitment to roll out smart metering and yet the share price has materially declined. As the fundamentals of the business have improved and not deteriorated, I viewed this share price weakness as a buying opportunity."

Still 20m M.cap.

Must be time to fire up the share printing press again.

From the Queen's speech as reported on the BBC news website....

Smart Meter Bill

puts consumers in control of their energy use, helping them understand their energy and bills, bringing an end to estimated billing and transforming the experience of pre-paying customers
protects the operation of the national data and communication service to safeguard smart services at all times
ensures smart meters will be offered to every household and business by the end of 2020
introduces a Special Administrative Regime, which will provide insurance for the national smart meter infrastructure in the unlikely event that the company responsible for it becomes insolvent

Agreed TP can roll out as many smart meters as they like but that does not mean Cyan get any of that business.

Cyan can hint at whatever they like. I am not buying a word of what Cyan hint at unless it is backed up by real cash.
