Issue of Scrip Dividend Shares

CVC Credit Partners European Opportunities Limited (the "Company") announces that application has been made to the UK Listing Authority and the London Stock Exchange for 311,042 ordinary Euro shares and 105,310 ordinary Sterling shares, to be listed on the premium segment of the Official List of the UK Listing Authority and to be admitted to trading on the main market of the London Stock Exchange.

The Ordinary shares will be issued pursuant to the Company's scrip dividend alternative in respect of the dividend for the quarter ended 30 September 2017 and will rank pari-passu with the existing issued Ordinary shares of the Company. Dealings in the Ordinary shares are expected to commence at 8.00 a.m. on 16 March 2018.

Following the admission of the shares, and based on there being no share issues in the interim, the Company's issued share capital (excluding treasury shares) as at 16 March 2018 will consist of:

124,658,625 ordinary Euro shares of no par value

299,572,589 ordinary Sterling shares of no par value

Each ordinary Euro share carries the right to 1 vote and each ordinary Sterling share carries the right to 1.17 votes.

The total number of voting rights of the ordinary Euro shares of no par value will be 124,658,625 and the number of total number of voting rights of the ordinary Sterling shares of no par value will be 350,499,929. The total number of voting rights in the Company will therefore be 475,158,554.

The above figure (475,158,554) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.

The Company will also hold the following ordinary shares in treasury:

48,331,335 ordinary Euro shares of no par value (non-voting)

22,674,700 ordinary Sterling shares of no par value (non-voting)

If any shares are issued in the interim the Company will announce revised figures.
