Countryside Properties PLC (the "Company")

Notification of Transactions by Persons Discharging Managerial Responsibilities ("PDMRs")

The Company has been notified that the following PDMRs were granted awards (in the form of conditional share awards) in the ordinary shares of GBP0.01 each in the Company ("Shares") on 26 January 2021 under the Countryside Properties PLC Long Term Incentive Plan ("LTIP Awards"). The number of Shares subject to the LTIP Awards has been determined by reference to the average of the middle market prices of a Share on 21, 22 and 25 January 2021 of GBP4.256 per Share. The LTIP Awards will vest on 26 January 2024, subject to the rules of the Countryside Properties PLC Long Term Incentive Plan and to the extent that the prescribed Performance Targets have been satisfied.
