Countryside Properties PLC (the "Company")

Notification of Transactions by Persons Discharging Managerial Responsibilities ("PDMRs")

The Company has been notified that the following PDMRs were granted awards (in the form of conditional share awards or nil cost options) in the ordinary shares of GBP0.01 each in the Company ("Shares") on 7 January 2020 under the Countryside Properties PLC Long Term Incentive Plan ("LTIP Awards"). The number of Shares subject to the LTIP Awards has been determined by reference to the average of the closing middle market prices of a Share on 2, 3 and 6 January 2020 of GBP4.6454 per Share. The LTIP Awards will vest on 7 January 2023, subject to the rules of the Countryside Properties PLC Long Term Incentive Plan and to the extent that the prescribed Performance Targets have been satisfied.
