Dresdner Kleinwort Group Limited (DKGL) (Originally Kleinwort, Benson, Lonsdale plc) Primary Capital Undated Floating Rate Notes (`the Notes') 28th June, 1985, ISIN GB0004955547, and Series Two, 29th May, 1986, ISIN GB0004955760 Sale of principal subsidiaries Notice is hereby given that DKGL has today, 11th June 2007, sold its entire interests in its two principal subsidiary companies, Dresdner Kleinwort Limited (DKL) and Dresdner Kleinwort Securities Limited (DKSL). Dresdner Bank AG (DBAG), a 100% intermediate parent company of DKGL, has purchased 100% of DKL and 80% of DKSL while Zenon Beteiligungs-GmbH (100% owned by DBAG) has purchased 20% of DKSL. No less able to meet liabilities There is no expectation that DKGL will be any less able to meet its liabilities under the Notes than at present. No negative impact in respect of the profits The sales of DKL and DKSL have been made at a market value based on the future profit projections of the entities, as confirmed by the auditors of DKGL, DKL and DKSL. The net assets of DKGL are unaffected by the sale of DKL and DKSL as the current values of DKL and DKSL in the books and accounts of DKGL are the same as the sale values. Continued earnings DKGL continues to generate profits from transactions booked both directly in DKGL and in its leasing and other subsidiaries.
