Partial Compulsory Redemption of Shares

Following the redemption of 22,499,669 Redeemable Ordinary Shares of No Par Value ("Ordinary Shares") at a rate of 88.89 pence per Ordinary Share on 30 April 2018 (as previously announced on 16 April 2018), the Company now has 81,845,546 Ordinary Shares in issue. With effect from today the Company's Ordinary Shares will trade under the new ISIN number GG00BF4J9110.

On this basis, a holder of 10,000 Ordinary Shares will have 2,156 Ordinary Shares redeemed, and receive GBP1,916.47 in cash. Approximately 21.6% of the issued share capital was redeemed.

In conformity with the FCA's Disclosure Guidance and Transparency Rules (DTR 5.6.1), the Company notifies that the Company's issued share capital now consists of 81,845,546 Ordinary Shares. No Ordinary Shares are held in Treasury, therefore the total number of Ordinary Shares with voting rights in the Company is 81,845,546.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules (DTR 5.1.2).

It is expected that the proceeds of the redemption will be paid through CREST to holders of Ordinary Shares in uncertificated form, and paid by cheque to holders of Ordinary Shares in certificated form, on 15 May 2018.
