Directorate Changes

The Company announces that Bridget Guerin, Independent Non-Executive Director of the Company, has given notice of her intention to resign as a director of the Company. The resignation will take effect on 30th September 2020. Sir David Howard, Chairman of the Company, said "Bridget joined the Board in 2012 and has managed her roles as member of the Risk and Nomination Committees and Chair of the Remuneration Committee with skill and effectiveness. Her experience and wisdom have been invaluable in helping the Board and senior management to deliver results for shareholders and customers. She leaves the Board with our thanks and best wishes for the future."

The Company is also pleased to announce the appointment of Anna Troup as an Independent Non-Executive Director. The appointment will take effect on 1 October 2020. Anna was formerly a Head of UK Bespoke Solutions at Legal and General Investment Management. She currently sits on the boards of Aberdeen Diversified Income and Growth Trust PLC, MS Amlin Investment Management Limited, The Pension Protection Fund and T. Bailey Fund Services Limited. There is no other information that is required to be disclosed under Listing Rule 9.6.13.

Commenting on the appointment, Chairman Sir David Howard said: "We are delighted Anna is joining the Board. She brings an impressive breadth and depth of financial services experience which will be of great value to Charles Stanley and our clients. Anna will work with the rest of the Board and management as we seek to continue the successful delivery of our strategy and move us closer to our vision of becoming the UK's leading wealth manager."

Committee Changes

The Company also announces the following changes to the membership of its Board Committees which will take effect from 1 October 2020:

Andrew Didham will become Chair of the Remuneration Committee and Bridget Guerin will resign as the Chair of the Committee.

Anna Troup will become a member of the Nomination, Remuneration and Risk Committees.
