Description of the Business Chariot is an investment company following the sale of the company's business and assets in January 2007. Chariot (UK) was incorporated in England and Wales on 8 April 2003 with registered number 4727361 and operates in the UK. Investment Strategy The Directors' key investment strategy is to acquire a company or companies whose businesses are in the broader leisure or consumer sectors, although such a business will not necessarily be a lottery operation. In light of the internationalisation of AIM, Chariot will target companies across a broad geographical area. The key attributes that the Directors will look for in a prospective investment or acquisition are: An experienced management team with a strong track record; An ability to generate revenue streams; and Strong growth prospects with the ability to generate shareholder value. The Board of Chariot (being Peter Jones, John Finan and Philip Evans) has collectively advised or been involved in a number of businesses in the leisure or consumer sectors and intends to actively use its sector expertise and knowledge to identify and appraise investment opportunities, carry out due diligence and negotiate acquisitions. Directors and their Responsibilities Peter Jones, Chairman John Finan, Deputy Chairman Philip Evans, Non-Executive Director Company Committees Remuneration and Nominations Committee This committee is chaired by Peter Jones and also includes John Finan. Only Non-Executive Directors sit on the Remuneration and Nominations Committee. The Remuneration and Nominations Committee meets formally at least twice a year and otherwise as required. The Remuneration and Nominations Committee, within agreed terms of reference, considers all material elements of remuneration policy, remuneration and incentives of executive directors (including pension rights and compensation payments) and senior management with reference to independent remuneration research and professional advice. The Board is then responsible for implementing the recommendations and agreeing the remuneration packages of individual directors. The Remuneration and Nominations Committee is also responsible for making recommendations for grants of options under Chariot's share option plans and setting performance conditions attached to the grant of options under the share option plans. In accordance with the Remuneration and Nominations Committee's terms of reference no director is able to participate in discussions relating to his own terms and conditions of remuneration. Non-Executive Directors' and the Chairman's fees are determined by the full Board on the advice of the Remuneration and Nominations Committee. The Remuneration and Nominations Committee also has responsibility for considering the size, structure and composition of the Board, the retirement and appointment of directors and makes appropriate recommendations to the Board in relation to these matters. Audit Committee The Audit Committee is chaired by John Finan and also includes Peter Jones. It meets whenever there is business to discuss and at least twice each year. The Audit Committee is responsible for ensuring that the financial performance of the Company is properly monitored, controlled and reported on. It also meets the auditors and reviews reports from the auditors relating to accounts and internal control systems.
