Mammoet-Starneth hands over all the goods in exchange for storage costs and no litigation against their previous defected workmanship.
Lawyers like to drag this very simple transaction so their fees can be justified.
Great news however the wheel shall be completed.

Exclusive: NY Wheel strikes major deal; will it save the project?

STATEN ISLAND, N.Y. -- The New York Wheel has been given 120 days to get the project to build a 630-foot-high observation wheel on the St. George waterfront back on track.

An agreement was reached Monday between the NY Wheel and the Holland-based Mammoet-Starneth -- the contractor who walked off the job and was subsequently fired last year -- during bankruptcy proceedings in Delaware Bankruptcy Court.

While the agreement has yet to be signed by the judge, both parties have hashed out a plan that will either facilitate the building of the NY Wheel or potentially terminate the project. The judge is expected to sign the agreement next week barring any objections.

120-DAY STANDSTILL

One aspect of the agreement, effective immediately, allows both parties to enter a 120-day standstill period, extending through Sept. 5. This allows the NY Wheel to come up with the necessary financing to complete the project and hire a new contractor, according to court documents.

The NY Wheel can terminate the deal at any time before the 120 days are up if it can't obtain financing, court documents say.

In addition, the agreement, once signed by a judge, will dismiss the lawsuit the NY Wheel filed against Mammoet-Starneth for breach of contract.


NY WHEEL STATEMENT

The NY Wheel issued the following statement to the Advance about the agreement:

"New York Wheel is committed to the completion of the project, which is the centerpiece of a Staten Island redevelopment project. This settlement will allow New York Wheel the opportunity to finalize its financing arrangements and re-commence the construction and completion of the Wheel," the statement said.

"There are certain aspects of the settlement that become effective immediately - including the 120-day standstill period, allowing New York Wheel to engage in discussions with subcontractors about replacement contracts and waiving certain rights in the bankruptcy."

A spokesman for Mammoet-Starneth didn't immediately comment about the court proceedings.

FINANCING NEEDED

While the NY Wheel told the Advance $400 million of the $580 million allotted for the project through private investors was already spent when the project was indefinitely delayed last spring, it's unclear how much financing is needed for the project to continue.

"The most important aspects of the settlement kick in when New York Wheel finalizes its financing arrangements. Those aspects include conveyance of the Wheel components and the Wheel IP [intellectual property] to New York Wheel, dismissal of the pending SDNY [Southern District of New York] litigation, the exchange of mutual releases, and implementation of an agreed Chapter 11 plan for the debtor," said the Wheel in its statement.


QUOTES FOR WHEEL PARTS

In addition, American Bridge Company, which has been tapped by the Wheel to finish the project would have the opportunity to buy parts of the Wheel from Mammoet-Starneth, according to court documents.

"This quotation remains offered to AB (American Bridge) under the auspices of AB performing work to complete the NYW (New York Wheel) on behalf of the owner," says Wieger Moen, global tender specialist for Mammoet in filed court papers.

A list of the parts and the payment Mammoet-Starneth wants for each item is included in the most recently filed court documents.

Some of the parts and prices are as follows:

Staging equipment for the Wheel legs, $210,000
Leg shims and jacking, $60,000
Leg lift beam, $15,800
Rigid spoke rim foundation, $200,000
Rim reinforcements $2 million
Rim push open system/load release cylinders, $53,100
Total cost: $2.53 million
Court papers also indicate that Mammoet-Starneth would offer rental of equipment needed to construct the Wheel to American Bridge.

HOPE FOR THE PROJECT TO BE BUILT

Other parties that would benefit from the Wheel being built, like the Staten Island Yankees, are hoping the agreement leads to the project being completed.

"The Staten Island Yankees sincerely hope this is a significant step in the right direction to complete The New York Wheel," said Will Smith, president, operating partner, of the Staten Island Yankees.

"It's an integral part of the redevelopment of St. George. This hopefully defines a process for the Wheel's completion which will open up more opportunities for tourism, commerce, transportation and entertainment at Richmond County Bank Ballpark at St. George," he added.


BANKRUPTCY HISTORY

The project to build the observation wheel on the St. George waterfront has been stalled for nearly one year. Problems began when Mammoet-Starneth walked off the job on May 26, 2017. The company was subsequently fired by the Wheel.

Mammoet-Starneth filed for bankruptcy in December. After failing to come to an agreement during mediation in March, both the NY Wheel and Mammoet-Starneth have been in court trying to hash out a deal.

To date, the NY Wheel has been ordered by Delaware Bankruptcy Court to pay nearly $2 million in storage costs, according to court documents.

The payment of the storage costs was ordered by the court after Mammoet-Starneth wanted to auction off the parts of the Wheel as part of its liquidation of assets, according to court records.

Yes you are right. As these will feel well rewarding when my position is worth over 6K at over 1p a share, and if they go over 1.5p then I will not need to worry about paying much tax, compared to if I played the perfect game.

I use AJ Bell, and I was getting
0.48 and then it went to no quote available for a few minutes after,
and then offered me 0.48p again so I took it for just 500 pound and I still had over £3000 left. Clearly me and you could of been over £600 better off had we played the game and bought them all back at 0.41p. Same thing happened last Friday when I could of sold at 0.38 and then bought back at 0.32p.

There was no sell quote for most of the time when the price was 0.48p to sell, so that maybe why so many have to sell now. I was lucky to get £500 out at 0.48p. I still own more shares than I started with today. In hindsight I should of set a sell order. Although I am one of the lucky ones who has not lost money on Challenger.
