Notification of Transactions of Directors

The Company announces the following transactions in respect of the Company's Ordinary Shares of 6(14/81) pence ("Shares") relating to Executive Directors.

The following notifications, made pursuant to Article 19 of the Market Abuse Regulation, provide further details.

Grant of Awards

Restricted Share Plan (RSP) awards of Shares were granted on 23 June 2022 to two Executive Directors.

The awards were granted under the terms of the Centrica Long Term Incentive Plan.

Release of the RSP awards is subject to continued employment and the satisfaction of an underpin, assessed over the three-year period 2022 to 2024. In assessing the underpin, the Remuneration Committee will consider the Company's overall performance including financial and non-financial performance measures over the course of the vesting period, as well as any material risk or regulatory failures identified. Financial performance will include elements such as revenue, profitability, shareholder experience and return on capital. Non-financial performance will include a range of operational and strategic measures critical to the Company's long-term sustainable success. Post vesting, the Shares are subject to a mandatory additional two-year holding period.
