There it is:



The Placing Agreement contains certain warranties and indemnities from the Company in favour of Cenkos Securities and is conditional, inter alia, upon:

(a) the passing of the Resolutions at the General Meeting;


Cenkos Securities may terminate the Placing Agreement if, inter alia: the Company is in material breach of any of its obligations under the Placing Agreement; or there has occurred, in the opinion of Cenkos Securities, acting in good faith, a material adverse change in the business of the Group or in the financial or trading position or prospects of the Group.

Seems to me that shareholders voted for this placing .....

SKIL Ports and Logistics, which is developing a modern port and logistics facility in Navi Mumbai, India, is pleased to announce that all resolutions put to Shareholders in connection with the proposed placing, open offer and subscriptions to raise up to GBP37.6 million, as announced by the Company on 31 October 2016, were duly passed.


Difficult to see what Cenkos has done wrong here .....

QuePassa - thanks for your comments.

Predictably, no response whatsoever from the Nomad and just a polite acknowledgement from the AIM Regulator - so have escalated our complaints by going directly to the SFO, which if first impressions are a reliable guide, suggests it may prove a little more fruitful.

Interestingly, many of the II's who carried out little or NO Due Diligence on the Placing worthy of the name, including a number who have been shareholders since IPO, are now burying their heads in the sand as deeply as possible, seemingly more concerned with limiting reputational risk, than any real concern for the retirement investments of their clients.

Seems to me, in my opinion only, that the DOWNSIDE RISK and DOWNSIDE POTENTIAL of this share FAR OUTWEIGH any upside potential.

Some points to consider

1. A weak IPO market in the UK
2. Founding CEO has resigned
3. CFO has just resigned.
4. Likely potential instability and uncertainty due to management changes.
5. Full year 2016 Dividend cut by a whopping 57% from 14p to 6p
6. Quindell still under investigation by The Serious Fraud Office


I'd be very worried, in my view only, that the share price doesn't continue its distinctly downward trend.

The graph trend, momentum and direction over three years looks resolutely southbound and horrible.

A very discombobulating and worrisome set of circumstances in my view.

In my experience when both the CEO and CFO of any given organisation resign, it frequently gets a lot worse before it gets any better.

It will likely in my opinion continue to be brown trouser time for shareholders for some time to come.

So Edison are estimating a Interim dividend of 6p.So 11p for the year,and a valuation of 189p on CNKS.We will see !

86p Bid on advfn feeds.

a question is whether it may or may not re-test the December 70p lows.

in my opinion only, that is a distinct possibility which cannot be ruled out.

... obvious hit here ... interesting to note that Chilton has now taken his "like" off LinkedIn - so whoever informed might wonder if I took a ScreenDump at the same time ;)


Looking further through Salaries, Chilton has always been the lowest end of director remuneration so I can understand him being miffed at Hotson's appointment over his head ...

... but Chilton held a paltry number of shares ... so no big loss there.

Further to post #2372, FairFX Group (FFX) have today announced a £25m oversubscribed conditional Placing plus an associated Open Offer to raise a further £1m in order to fund the proposed acquisition of CardOne. Cenkos is acting as Nomad/sole broker...

Conditional Acquisition of CardOne -

FairFX Group plc (AIM: FFX), an online international payment services provider, today announces its proposed Acquisition of CardOne for a consideration of £15 million, together with a conditional Placing to raise, in aggregate, approximately £25.0 million (net of fees and expenses) by the issue and allotment by the Company of 46,034,485 New Ordinary Shares at the Issue Price of 58 pence per Ordinary Share.

In addition, in order to provide Shareholders who have not taken part in the Placing with an opportunity to participate in the proposed issue of New Ordinary Shares, the Company is providing all Qualifying Shareholders with the opportunity to subscribe at the Issue Price for an aggregate of up to 1,730,669 Open Offer Shares, to raise up to approximately £1.0 million...

if you check it out ... the LinkedIn profile reads like a bloke who wants a lot for little effort ... wittering on about outside hobbies and so on .... more importantly, he was head of HR at Cenkos and given the Navid Malik fa la la recently .... I would imagine has not come out too well.

There are times, when a senior employee goes to his CEO with an offer to resign, and the CEO thinks ...

The THICKO BOO BOY is YOU.

You are forever destined to be a very poor investor by mere dint of the fact that 1) you get far too emotionally involved with a share and 2) that you are so emotionally blinded that you are unprepared to open your mind to differing opinions than yours.



If you don't think it's significant that first the (founding) CEO quits and then the CFO quits, you really haven't got a clue.


More uncertainty at the house of Cenkos. Not good in my opinion.


One wonders who else may or may not walk the plank....or get pushed.....

Anyone got an update please on the enquiry by The Serious Fraud Office into Quindell?
