That is apart from the UK stuff, but maybe the proposed government regulation could see this side back in profit again, who knows. Though a sale of this would be extra lump amount of cash which they could put to good work than wasting energy treading water with the UK. If news is positive it can double or triple easily, as there is hardly any stock out there and it's not on anyone's radar. 01/2/2017 15:48 | Concert Party the following is out of date....but I think it probably still reflects the current situation (that dirs.+ Atlas is not a concert party but that the 3 original dirs ARE a concert party and if they go above 30% then they need to make an offer for all the shares of the co. at highest price they paid within last 12 months.... ..they are at 29-30% at the moment imho ..if added Atlas then its 49-50%.. ...both numbers just under the limits of 30% & 50%...) ---- "The Panel have agreed with the Company's analysis that Atlas (which is interested in 8,645,635 shares, representing 13.5% of the issued share capital before the Acquisition), SMS Media Limited and Sardik Limited are no longer a concert party. Furthermore, the Atlas Option Agreement, under which SMS Media Limited had certain rights to acquire the Atlas shareholding (which represented 28.3% of the issued share capital on admission) has expired. The Panel has further agreed with the Company that Andrew Wilson, Bertrand Folliet and Emmanuelle Guicharnaud who are directors of the Company are a concert party ("the Concert Party"). Following the Acquisition, the Concert Party will be interested in 20,406,767 shares representing 27.02% of the enlarged issued share capital. These interests include shares held and/or controlled by SMS Media Limited and Sardik Limited, who were members of the Original Concert Party. I assume that he attends 1 board meeting every 2 months is it !!?? ..does tha If so that would mean 10,000 pounds for 1 board meeting !!..with the co. also paying travel and accomod. costs ...from abroad... Seems far too high imo ...for a company that has never paid even 1 divi to shareholders !! & has 3 times as many shares now as just after the IPO ( roughly 75M vs 25M, +/-)..due to rescue share issues... is it just because he is one of the co-founders, with the MD and their company owns a lot of shares in Cellcast ?? I have based my post on the official data, ie. given in the accounts ... (although his address is recorded as Hong KOng....but I understand that that is not true ..even though the official data for residential address is supposed to be correct and kept up to date....) | smithie6 | |
31/1/2017 13:30 | PJ How about you e mailling the company about the subject of the 3M warrants having expired in Nov 2014 but the accnts to Dec 2015 saying that they are still exercisable (and no data given such as exercise price nor who holds them)....if you agree with my arguments about it... with a copy to AIM regulation and FRRP (to try to encourage the bod to produce correct accounts in the future !.....if no one complains then they have no incentive to change imo) | smithie6 | |

30/1/2017 13:57 | Naz ...PIs need to fight for their rights sometimes...(well all the time on AIM; eg. rights issues normally exclude PIs but breaks spirit of Company Act which requires all shareholders are treated equally)... ....Hopefully future accnts wont have similar stupid mistakes as in past ones... & regulator input can help PI interests imo (& if the 3M warrants are deleted and not exercised....since they are expired (I detected it, no one else)...it benefits PIs) | smithie6 | |

30/1/2017 12:10 | Smithie, I cant really see how you can pressure the BOD when they have such a large holding themselves especially if you add Atlas as well and it maybe the case that the other lager holders are behind them as well. So maybe worth some effort to find out why the major holders are adding. I suspect something tasty must be happening behind the scenes and major holders are maybe not that bothered about a few loose ends in the accounts or few extra perks the BOD are getting. | nazrat |
