The trading update proves the market already knows broadly what the results will be: 200p possible but not till November. Trading Update Careforce is pleased to announce that it has returned a successful trading performance during the six months to 31 January 2005 with turnover and gross profit at significantly higher levels than the same period in the prior year. As referred to in its AIM Admission document, Careforce has continued to invest in its central overheads and branch network during the first half and these costs will be reflected in the interim results. As a consequence, substantially all of the full year's profit contribution is expected to be achieved in the second half. With continuing strong demand by local authorities for outsourced domiciliary care and taking into account the contribution from Careforce's recent acquisitions, the Board continues to view the growth prospects for Careforce with confidence. | egoi | |

Acquisition of Springhill Careforce announces that it has completed the acquisition of Springhill Home Care Ltd ("Springhill") for a total cash consideration of up to #1,750,000 payable from existing resources. This comprises an initial payment of #1,000,000 followed by a deferred payment of up to #750,000 dependent on certain gross profit targets being met over the next year and on the net assets acquired with the business. Springhill operates branches in Accrington, Barnsley and Wakefield and generates around 93% of its revenues through a mixture of block and spot contracts with Barnsley, Lancashire, Rotherham and Wakefield Social Services. The business currently delivers approximately 4,000 hours per week and employs 160 carers. The draft unaudited accounts for Springhill, for the year ended 31 July 2004 show an operating profit of #7,000 (2003: #118,000) on turnover of #2.175 million (2003: #1.525 million) and net assets of #160,000 (2003: #154,000). T aking into account certain costs of the business, which will cease on acquisition, the Directors of Careforce believe that the adjusted run rate of operating profit following acquisition will be substantially higher than that achieved in the year ended 31 July 2004.
