Admission of Shares to Trading

Dublin/London, 17 August 2017: On 21 July 2017, Cairn Homes plc (ISE:CRN, LSE:CRN) ("Cairn ", or the "Company"), the Irish homebuilding company, announced that Founder Share Value in relation to the second Test Period would be paid by way of conversion of Founder Shares into 38,685,292 Ordinary Shares of EUR0.001 each ("New Ordinary Shares").

Application has been made for 38,685,292 New Ordinary Shares to be admitted to (i) listing on the Official List of the Irish Stock Exchange and to the standard listing segment of the Official List of the Financial Conduct Authority; and (ii) trading on the Irish Stock Exchange's Main Securities Market and the London Stock Exchange's main market for listed securities. Admission is expected to become effective at 8.00 a.m. on Friday 18 August 2017.

The New Ordinary Shares will rank pari passu in all respects with the Company's existing ordinary shares.

Total Voting Rights

In conformity with Regulation 20 of the Transparency (Directive 2004/109/EC) Regulation 2007, Cairn announces that the Company's issued share capital consists of 761,672,549 Ordinary Shares with voting rights following the issue of the New Ordinary Shares. The Company holds no Ordinary Shares in treasury.

Therefore, on admission the total number of voting rights in the Company will be 761,672,549. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of their interest in, the Company under the Transparency (Directive 2004/109/EC) Regulations 2007 and the Transparency Rules.
