As noted in paragraph 14 above, three Directors, namely Lee Feldman, Kenneth Alexander and Richard Cooper will re-invest 100 per cent. of the after-tax value of the Proceeds received by them (which is estimated to amount to approximately GBP10.89 million) in subscribing for New GVC Shares as part of the Fundraising. The New GVC Shares so acquired by the members of the GVC Board will be subject to 12 month lock-up arrangements. Full details of the Proceeds and their re-investment in the Fundraising will be set out in the GVC Prospectus. This writes AYA out of the equation for the foreseeable future! The New GVC Shares have not been, and will not be, registered under the US Securities Act or under the securities laws of any state or other jurisdiction of the United States.
