14/2/2013 12:16 | NR Investments' responses to separation agreement: 12-Feb Response to Bumi plc Bakrie separation agreement Bakries are only putting down $50m to buy the EGM - nothing more until at least June and no guarantee even then. Bakrie colluding with Bumi plc board is extraordinary. Nat Rothschild said "If Bakrie is really exiting Bumi plc why do they care who they sell to? A $50 million deposit is equivalent to 13p per plc share. Since we launched our EGM the stock has risen from 265p to 404p, and this is not because of the current boards' efforts - the Bakrie separation was already announced before we called our EGM." 13-Feb Statements by Board of Bumi plc, Borneo (Samin Tan) and Long Haul Holdings (Bakries) show their desperation to retain control NR Investments (NRI) says the statement by the Bakrie family's Long Haul Holdings seems to show Long Haul has the zeal of the convert when it comes to the provisions of the Takeover Code and indeed to London corporate governance. Too little, too late. There have been three carefully timed statements in 24 hours from the board of Bumi plc, Borneo (controlled by Samin Tan, chairman of Bumi plc) and now Long Haul Holdings which demonstrate the desperate attempts by the concert party and its allies to retain control of Bumi plc, a company which has been looted at the expense of minority shareholders, including Nat Rothschild. The Bakrie "deposit" equates to less than 13p per Bumi plc share. This morning Bumi shares are up as much as 35p in anticipation of seeing the "back of the Bakries". Nirwan Bakrie needs to answer one simple question to UK investors: "If he is indeed planning on leaving Bumi plc, why does he care so much who controls Bumi plc after his departure?" This morning's Long Haul statement is fundamentally misleading. The Bakries claim that NRI is exploiting the "inherent unfairness of allocation of votes" by calling a General Meeting. This is palpably false - regardless of when the General Meeting is held, the entire Bakrie Concert Party will NOT be able to vote more than 29.99%. The Takeover Panel has ruled that the entire Bakrie Concert Party must sell down their voting interests to 29.99% - their votes have been restricted until that happens because it would be UNFAIR for the parties who have breached the Takeover Code to be able to vote their full holdings. | strollingmolby
14/2/2013 12:11 | Stuart , PT Bumi Resources rose the most in more than nine years in Jakarta trading on optimism next week's shareholder meeting of Bumi Plc, its largest shareholder, will resolve an ownership dispute. Bumi Resources surged 26 percent to 910 rupiah at the 4 p.m. local-time close, the biggest increase since Dec. 11, 2003. Bumi Plc fell 3.1 percent to 431 pence as of 9:27 a.m. in London, after a 10 percent gain yesterday. Shareholders of Bumi Plc, the London-traded Indonesian coal venture at the center of a battle for control between co- founders Nathaniel Rothschild and the Bakrie Group, will vote Feb. 21 at an extraordinary general meeting on a proposal to replace the current board including its chairman and chief executive officer. "The market is expecting the outcome of the EGM in London to be a positive one and would allow the separation of Bumi Resources from Bumi Plc," Wilianto Ie, head of research at PT Nomura Indonesia, said by phone. | flyfisher
