Purchase of shares by Employee Benefit Trust

Further to the announcement made on 25 July 2022, N Brown Group plc has been notified by Sanne Fiduciary Services Limited the Trustee of the Company's Employee Benefit Trust ('EBT') that the EBT has purchased a total of 598,032 Ordinary Shares ('Shares') in the Company.

The Shares will be held in the EBT, which is a discretionary trust for the benefit of the Group's employees. The Shares will be used to meet future obligations arising under the Company's various share schemes and share plans, including share awards made to PDMRs of the Company.

The average price of the purchases was 25.5757 pence per share.

Following this purchase of Shares by the EBT, a total of 2,866,253 Shares, representing approximately 0.62% of the Company's total voting rights, are held by the EBT. 1,373,128 of the Shares held by the EBT are currently unallocated to employees and PDMRs. The issued share capital in the Company remains unchanged at 460,483,231 Shares.

These Shares were acquired by the EBT as part of its intended market purchases (the "Market Purchases") as announced on 25 July 2022. Further updates in respect of the Market Purchases will be made as required.
