Completion of purchase of the remaining share capital of Paraytec Limited
Further to the announcement dated 18 September 2019, Braveheart Investment Group plc (AIM: BRH), the fund management and strategic investor Group, announces that, conditional on admission of the Consideration Shares (defined below), Braveheart has acquired the remaining issued share capital of Paraytec Limited ("Paraytec") not currently owned by Braveheart (the "Offer").
The Offer, which was accepted by all the other shareholders of Paraytec, will be satisfied by the issue to Paraytec shareholders of 995,186 new ordinary shares in Braveheart (the "Consideration Shares"). The Consideration Shares have an aggregate value of GBP111,652, based on the volume weighted average price of a Braveheart ordinary share calculated for the period 1 July 2019 to 31 August 2019. The Consideration Shares will rank pari passu in all respects with the Company's existing ordinary shares. Application has been made to the London Stock Exchange for admission to trading on AIM of the Consideration Shares, which is expected to occur on or around 1 November 2019. Following such admission, Braveheart will own the entire issued share capital of Paraytec.
Total Voting Rights
Following admission to trading on AIM of the Consideration Shares, the Company's issued share capital will comprise 28,077,751 ordinary shares with one voting right per share. The Company does not hold any ordinary shares in treasury. Therefore, the total number of ordinary shares and voting rights in the Company is 28,077,751.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
