Appointment of Administrators

Further to the announcement dated 7 February 2018, the Directors of BOS GLOBAL Holdings Limited ("BOS GLOBAL" or the "Company") advise the market that as a consequence of efforts to raise additional funds to ensure the continuing operation of the Company having not been successful, the Directors have today appointed Mr. Steve Naidenov and Mr. David Iannuzzi of Veritas Advisory in Sydney, Australia, as Joint and Several Voluntary Administrators of the Company.

The Directors considered that it was in the best interests of creditors and shareholders to appoint Administrators and preserve value in its assets including the BOS suite of products and patents and the Company's 40% interest in Call Design Pty Ltd.

The Company's management and Directors remain committed to working with the Administrators on a restructure and recapitalisation of the Company. The Administrators will immediately undertake a review of the financial position of all the other companies in the group with a view to further actions being taken as required by the directors of those divisions.

Shareholders should note that as a result of the appointment of an Administrator, the Annual General Meeting that was adjourned on 22 December 2017 will not be reconvened.
