PJ1 - this is the only time i will reply to you. There is a deal in progress which, if it comes to fruition, should produce a share price on NASDAQ in excess of equivalent of £1.50/share. This takes account of dilution i.e. this should be value per existing share. Initial listing price likely to be lower. We shall see. No one knows for sure. Its a bit like practising medicine in this respect though i have a better understanding of that!

LOL.I note the other fraud CTAG which was also kicked off AIM,is also muting a NASDAQ listing. Strange how frauds and dodgy Companys run by dodgy self centred Directors often follow the same path.

Of course not. I have no contacts with anybody close to BNN. As I said in that message - this is speculation on my part. But in BNN's last RNS they claimed that new II's would invest between $26m - $36m in the new business. Given BNN have acquired shares in MICT at $1.65 and are tendering for another 35% at a minimum price of $1.65 I don't think it is unreasonable to assume that this will be the price that the II's enter at. As I said its just speculation on my part - time will tell.

Thanks for your posts today you have a very good feel for what BNN are trying to achieve .

I was told some time ago that the secrecy around the 3rd would remain but it is a very profitable company with its own funds and would make BNN a much larger interesting vehicle for a new listing .

But that was some time ago now .

The short answer is yes, this is after any dilution. As I see it BNN would pay cash and issue new BNN shares for the 3rd party PaaS company. The enlarged BNN company would then be acquired by MICT on a 1 MICT share for each enlarged BNN share. Even though there would be more BNN shares to be acquired by MICT (due to the thirdy party Paas company being acquired by BNN), the value of the enlarged BNN would increase to reflect the acquisition of the third party. If the market really likes the deal and in particular the third party acquisition, the deal would result could enhance rather than dilute the value to BNN shareholders. And that is what the institutional investors seem to think. This is just my opinion and I could be wrong, but if the deal concludes we'll see!

Dlm, I'd imagine that the II's would be investing with a view that when it goes to market they make a premium straight away. So possibly opening higher than there investment

Asking questions on their website was a complete waste if time. Phoned up Knutsford last week to see when the questions were likely to be answered, was told someone would call me back.. Guess what?... At the same time I asked how many people worked at Knutsford now, the lady said she wasn't allowed to say.. It is a funny old company... Lets hope this reverse takeover, or what ever it is, works out.. Roll on November

With regards the best guestimate of the value of each BNN share (should the deal conclude), I think it will be $1.65, which equates to £1.29 at the current exchange rate. This is the price BNN paid for their 14.9% stake in MICT and also the minimum price they will pay for the additional 35.1% they will tender for.
The deal would then very neatly be 1 MICT share for one BNN share. We don't know the timing of the tender offer for BNN to acquire the additional 35.1% but I think that this would be done after the full details of the deal are announced.
The fact BNN have offered to tender for the additional MICT shares for a price in excess of $1.65 indicates to me that this is the price that the II's are happy to pay for their new shares, raising between $26m and $36m for the company. If the tender price ended up at say $2 per share (for example) then this would be the best estimate of the opening price for the new company and the value of each BNN share when relisted. Given there are only around 10m MICT shares in circulation (mkt cap $12.1m) paying another 35c for each share will cost BNN an additional $1.2m for its 35% stake, so it is small beer in the scheme of things. These shares could also be sold back into the market at some future date.

Pure speculation on my part and the deal may not conclude, but if I was short BNN I would consider hedging my bets with a long position in MICT. As always DYOR.

Well on my visit to the U.K. peeing down and 15deg so remembering why I left .
September just round the corner and news hopefully sometime during that month .
Hopefully trading again before end of November .
I have to say very disappointed yet again on updates and trading history from this dubious mob .

Yes value there and the benefit I see in the new merged company is that it is multi-service based and with the PaaS provider, may we'll now have its own platform cloud base for service delivery. November it is then, deal is not done yet and can fall apart at any time until all have signed up, so not "counting chickens" yet. But I understand all parties want this to happen as will benefit all of them. Old game of patience here still but nice Xmas present on the way IMHO!

Ipee ..

I too have no idea of trading for the past 16-18 months and am like you useless at being patient .

Especially when the company was being run like it was .

Very frustrating for sure and by October we should know where we are heading .
Someone wrote on here a while back that we have to forget the past and focus on the future which I answered by saying how about the present however it seems we only have hope of the future left as very little update of any importance for a long time now
