Just a reminder of the timeframe for the tender:
26 April: Barclays Stockbrokers deadline for shareholders to provide instructions on the tender offer.
4 May: Peel Hunt deadline for the receipt of tender offer documents (13.00)
9 May: Result of tender offer and strike price to be announced
16 May: Funds for shares purchased to be credited to CREST accounts

Techinvest issue came out before the tender was announced. They do hold stock in their portfolio. So will have to take some action.

if 29% of the shareholder register wanted to sell the price wouldn't be 240p and they would be selling in the market.

I think the tender is rather a gamble, very likely to be binary. If more than 29% want to tender then is very likely to be priced at 215p, if less than 25% tender then will be at 250p. Of course as PI's how are we to know what the interest is like?

The business is now very different, from a low margin steady growth (and fairly cheap) business to a highly valued high growth software business. I'm therefore thinking a lot of the institutions will take the oppportunity to sell (and with a decent holding would be hard to sell on the open market).

I personally think the risk is to the downside short/medium term,with the valuation post distribution at £140 million is a high value for a circa £30 million turnover business. I therefore sold my remaining at 238p yesterday.

be that as it may- i hope dor those who are not participating in the tender will not be affected negatively- i find the whole process impenetrable and in fact does not allow me to add, based on normal news flow- i have asked questions when attending the general meeting about the rationale and i am not convinced

Seems pretty sensible to me. The business has transitioned from a repair business to a software business. You'd expect the shareholder list to transition as well. The tender is a way of allowing shareholders to either get out completely, not at all or partially. A special dividend takes choice away from the shareholders.

It seems to me as if no one really knows what to think of this 'Tender Offer'. Yesterdays rns has only managed to put another spanner in the works as far as I am concerned. Agreed that reducing share capital was the right thing to do, but surely there must have been a better way.

If the share price goes higher than 250p before the offer closes, those who want to sell will do so through the market at >250p. If the share price is higher at the close of offer the offer will be undersubscribed and the company will be left with more money and shares than it intended, which I do see as a big problem.

I'm not so sure about this, you could be leaving money on the table by selling before the tender because the tender has to be above market value to attract sellers doesn't it? At least that is the case up to 250p.

There is an element of the "Keynesian Beauty Contest" to it, or a theory closely related too it.

Sorry I'm censoring my comments because I can't be bothered dealing with nurdin any longer.
