Blackfinch Spring VCT plc (the "Company")

Issue of Ordinary Shares of GBP0.01 each ("Ordinary Shares") pursuant to an Offer for Subscription dated 2 October 2020 of up to GBP20 million of Ordinary Shares with an over-allotment facility for up to a further GBP10 million of Ordinary Shares (the "Offer")

The Company announces an allotment on 2 March 2021 in respect of 417,782 Ordinary Shares pursuant to the Offer. In accordance with the Pricing Formula set out in the prospectus containing details of the Offer, the subscription prices at which Ordinary Shares were allotted ranged from 92.80p to 96.17p per Ordinary Share.

Following this allotment, the number of Ordinary Shares in issue is 6,722,272 (including 2 Ordinary Shares issued as subscriber shares).

Therefore, the total number of voting rights in the Company is 6,722,272. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Application for these Ordinary Shares to be admitted to the Official List of the Financial Conduct Authority and to trading on the premium segment of the London Stock Exchange's main market for listed securities will be made shortly and dealings are expected to commence on or around 4 March 2021. CREST accounts are expected to be credited as soon as practicable following the allotment and definitive documents of title are expected to be dispatched within ten business days of allotment.
