You can be sure now that small shareholders will be shafted now IMHO! And I agree If they wanted to bid they would have already. They want control on the cheap to push through their own agenda. As Aurthur lane said above going on Panthers track record they will take what they want now at discounted prices so Beale can repay its debt in 2011 and leave shareholders with nothing but loss making leaseholds.

Perloff won't make an offer in my opinion. He holds the cards now and will be looking for an angle of some kind.

He's also got the same position at 012 Estates.

Perloff's got a bit of a record of buying a big stake in companies with property assets he likes and then getting them to sell Panther the properties on the cheap. Look what he did with Elektron/Howle.

I've just checked the last annual report



At 31 October 2009:

Freehold buildings are valued at £13M
Leasehold valued at £5.1M
Fixture/fittings/vehicles valued at £27.2M (Hmmm!)
Pension deficeit is £4.5M

Net assets are £13.8M (current market cap is £8M)

From memory (the last time I looked was about three years ago) only two of the stores are freehold, the rest are leasehold (although some/all of the leases no doubt have some intrinsic value) , so I doubt if sale and lease back would completely explain Panther's interest, having said that Panther Securities are a property company.

Perhaps the rise was because Hoopers have their own problems (do they, I have no idea?) and needed to realise their investment in Beale for cash, thus causing a massive overhang in the market (which now has gone), although I note the Panther puchase was at 40p/share, so clearly they can see some value there.

Whatever, I'm sure all will be revealed in due course.

A possible sale and leaseback of the stores ahead of the banking facilities running out? The share transaction allowing some to exit as whats left for shareholders but a loss making leasehold business when the properties are sold to pay off debts and the pensions deficit. Hoopers and House of Fraser have all walked away from them before.

That doesn't sound good to me.

Beale are worth keeping an eye on due to the assets, but I won't consider purchasing until the next set of results which should hopefully give an update of the Christmas trading period too.

The pension fund is large in relation to the business which puts me off a bit too.
