If it makes you feel any better TO350 I've lost £15k on this albeit I can offset losses. From this experience I've learnt two lessons - never try and catch a falling knife and NEVER back in to stocks where the management don't give a toss about shareholders.

My understanding of Rule 41 is that a shell has 12 months to announce a deal or at the very least it's intentions. If a deal is announced they then have a further 6 months to conclude. On that basis it would appear that Base is gone forever. It's been emotional.

It's very strange for Bradshaw just to sit back and let this go off the radar especially given his background. I don't think it will come back but you never know.

Cancellation is pretty final. But you can appeal anything the SE does so they'd have to do that asap. If they don't appeal then they'd have to apply afresh.
Whatever deal they were thinking of would surely be redundant without a listing since that was the only useful asset - the RTO company could simply apply themselves.
If they had a plan then they should have told the SE who may have listened and postponed the cancellation. Would have been nice to have heard something from the company itself!

Suspension and delisting are completely different. However I do believe that if a deal is done then the delisting can be reversed. Lets hope that there is actually a deal being done!

Base AIM Suspension

RNS Number:6849M
Base Group PLC
24 November 2006

Base Group PLC (the "Company")

AIM suspension

The Company is currently negotiating the terms of a transaction which would, if
completed, constitute a reverse acquisition under the AIM Rules. As a result of
these discussions, Base will not be in a position to publish its interim results
for the six months ended 31 August 2006 by the deadline imposed under the AIM
Rules and accordingly expects that trading in its shares on AIM will be
suspended until such time as details of the transaction, if completed, are sent
to shareholders and the interim results are published.

So it may NOT yet be over.

g-j-a you will need to hang on to your contract notes so that you can demonstrate the loss. The Revenue publish list of shares that have become of negligible value from time to time. Once Base appears on the list you can claim your loss against any profits you have made in that tax year. Unrelieved losses can be carried forward (but not back). At the moment, Base has simply just lost its listing (its not in liquidation etc) so until it hits the Revenues list theres not much you can I'm afraid - but it should happen in the 2007/08 tax year.

godolphin - Thanks again, seems as though I'll have to make a gain somewhere to claim CGT relief.

The running of Base and its search for a RTO(since Nov '04) have been handled abysmally. An inquiry is called for, but can anyone be bothered?

Can someone offer advice to a dabbler in shares who regrets this investment! - now that these are worth nothing - do I need to do anything to offset my loss on these against gains on investementss which have made me money (COH) - do I just hold on to sale dockets for Inland REvenue - or do I need to do something else?

Cancellation
41. An AIM company which wishes the Exchange to cancel admission of its AIM securities must notify such intended cancellation and must separately inform the Exchange of its preferred cancellation date at least twenty business days prior to such date and save where the Exchange otherwise agrees, the cancellation shall be conditional upon the consent of not less than 75% of votes cast by its shareholders given in a general meeting.
The Exchange will cancel the admission of AIM securities where these have been
suspended from trading for six months.
Cancellations are effected by a dealing notice.

The second paragraph is the important one. Basically, this is exactly 6 months after the suspension. The cancellation rule is old but the suspension was as a result of the new rules for shells. If they had some cash then there might have been hope that they could list on the plus market, but not likely now and I think they would have told us rather than letting it go.
