My past experience, has always been that the scrip price is higher than the share price ex divi and I could always have bought them in the market, cheaper than the scrip price. They should be required to purchase X amount of shares in the market, with the salary they get paid, as a condition of having the job. That way if the share goes down, they feel the pain just like regular shareholders. Offering discounted, tax free shares to directors as some kind of incentive to perform is ridiculous.
