IMO ASD is now part of Alere so its performance good or bad will not affect ASDs' share price.
ASD shares will now range from the minimum price achievable (Aleres 470p) on the down side and whatever a forced buyer has to pay (due to availability of shares in the market) on the up side.

BUT, they still only have just over 50%, that leaves almost 50% in the hands of others who might not be willing to sell. Now I would imagine that Alere would rather have those other shares too.

How are they going to force the holders of the remaining shares to sell them or offer them to Alere? From what I can see, everybody can sit tight.

If ASD becomes more profitable, as I am sure Alere wishes it to be, then the share price will increase. Won't it?

As I understand matters, by declaring the offer Wholly Unconditional acceptances can no longer be withdrawn so Alere have won by a measly 0.41%.

Done and dusted!....from where do you envisage excitement?

By default she probably means that ASD shares will be delisted but this wont happen immediately if they gain 75%...and it looks like they wont gain 75%.

Exciting times ahead.

Alere rang me last night.
Actually it was another company representing Alere (can't remember the name). They wanted to know if i had sold/accepted or was going to accept. I said i was hanging on to see if anything exciting happened :)
She tried to warn me that i would miss the deadline if i didn't act soon.
I asked what the default action was if i did nothing, she said she was unable to say.
Does anyone know what the default option is?

So, Alere have circa 50%.

That also means that OTHERS have circa 50% too.

Now those others are not all small shareholders. There must be some big players in there holding out for something. Don't you agree?

So who are they? And why are they holding?

Plenty of time, Alere say the offer remains open until further notice and they will give 14 days notice of any revision

"The Revised Offer will remain open until further notice and at least 14 days' notice will be given if Alere AS Holdings decides to close the Revised Offer. Axis-Shield Shareholders who have not yet accepted the Revised Offer are encourage to do so without delay."

so there seems to be no risk of ending up with valueless shares, if my reading is correct. If you want the money sooner you can sell into the market now, or alternatively hang on and await developments. Not clear yet if Alere will get to 75% by Monday, but suspect they will eventually.

I dont think Alere will obtain 75% and ASD know this.Thats why they had the RNS this week on the Architect assay.

It is in the interests of Alere/Axis jointly to drive ASD profitably.

So if Alere can't get 75%, and hence can't delist where does that leave the sp?

I think it's about the board of ASD found their balls, and made another statement.

Alere have extended purely because they haven't got enough acceptances to delist, they have control of the Company, by virtue of the 20.5% acceptances, but that in itself is not enough for them to take it over.
The RNS clearly gives investors clear guidance and it would seem holding onto your shares is not a dangerous ploy, if they get to 75% there will still be ample time to accept or sell your holding.

The one thing that spikes the guns of any potential bidder is the 29.9% Alere holding, this would render any bidder hamstrung when it came to any special resolution votes or if it wanted to delist the Company.

Interesting that there are no trades at all today. I think people are digesting this and trying to decide what to do. Either that or nobody is making a market in ASD any more.

Hot, did your broker confirm that the market is still open for ASD trading today?

Just rang my broker and gave them authority to sell if 75% plus is accepted on Monday.The brokers deadline is noon today so that they can obtain all there figures they inform me.

"A notice period of not less than 20 Business Days prior to delisting from the London Stock Exchange will commence as soon as Alere has received sufficient acceptances to procure the delisting of the Axis-Shield Shares."

So currently they hold around 50%, but for some reason feel willing to extend the closure period. Interesting at least.

No need to send in your papers/sell just yet after all. Might as well make Alere work for the acceptances. It will cost them more, even if it is pennies, to have to keep chasing the remaining shares.

But yes I agree. Spiking the guns of any potential bidder is exactly what they are doing. Clever. Best poker face .

Note though that there are still appx 50% shareholders holding out until the very last minute.

I will send my letter of acceptance to my broker today.By this way i wont lose my share value and if they dont reach 75% I will still hold my shares.

Brave if you just keep hold of your shareholding.
