They are nowhere near 75% but by extending the offer they spike the guns of any other bidder. Just grinding holders into accepting.

You should only ever trade any share for a profit. The only person who cares about your wealth is you.

The board of any company you invest in don't care tuppence if you do well or otherwise.

They don't care about large investors particularly, but they have to fear them.

Small investors they can ignore and treat with contempt, just as they have in this case.

I wouldn't be surprised, -- but won't be holding to find out, -- if on Monday after the deadline passes, some other devious twist emerges, and another offer pops up, supported of course by the ASD board. We'll see.

Yup, we are all better off out of ASD. Good riddance.

Its a sad fact of life that most people are out for what they can get, and its obvious that our board of directors are no different. Sold my holding today and sadly won't be retiring to play golf with the proceeds. i must say i do feel bitter after 11 years as a shareholder at those who will obviously be making fortunes out of this deal, and i include members of our so called board, i can only add that Slate you were right all along this was only ever a share that should have been traded for profit.:

Great products...first dividend paid...and now selling at 470p...the ASD board could now all be on their way if Alere gain control.

Yeah ----- WAY TOO LATE.!!!!!!!

Alere must be laughing all the way to the Bank.

How do they (ASD) have the gaul to crow about this, when they just sold out for 470, effectively screwing their longterm shareholders out of the benefits of it's launch?

As regards the offer, ----

The other way to look at this, is to sell on Friday, and if the 50% and 75% isn't reached, wait for the share price to drop (if it does), and then buy back in as many as you can afford.

Because as sure as egggs is eggs, ASD won't last long after. I reckon there would be another offer above 470 within days. So it would be a chance to make a bit of dosh out of the farce.

I tend to agree with you Hot, too much of a gamble to risk losing all value. And not much to gain I think, --- for the risk.

Suppose another bid is announced after the deadline (assuming that Alere fail to achieve 75%)?

How much -- realistically, is that likely to be? I doubt it will improve substantially on 470. I think this because the board of ASD have already sold out at 470. So any other bidder already has an upper hand.

Only Alere could drive it higher by starting a bidding war. But they too, would keep any improvement low, as seen by the 10p increase they already achieved.

They will not announce anything until after Monday because the offer remains open until Monday at 1pm.

Still not clear how another bid can be announced when over 50% might have already pledged their shares to Alere. Presumably another bid can only emerge after the result is announced and if Alere fail to reach their target.

The worst would be to lose the value of your shares.Surely it would therefore be best to sell before the deadline if there is no other offer.Do you agree ?

From my brief research into delisting ---

75% of shareholders have to support the proposal to delist at an EGM. Then the application can be made to delist.

Working on the assumption that Alere will hold 75%, at least, the proposal will be met, and the application will be made.

Let's suppose they could get delisted in 1 week. In theory then, you could still trade on Monday the 24th through to the Friday.

But who would you trade with? Who would want your shares? Who would want to buy them? Not Alere, they don't need them. And nobody else, as they would face delisting.

Until Alere announce 75%, you can trade ASD freely.

If they announce 75% this week, you can accept the offer.

If you wait until Monday, and they announce 75% you are probably going to be stuck with your holding, or have to sell at far less, --- if you can.

If Alere don't announce 75% before, or at 1pm on Monday 24th, then maybe another bid will surface, or maybe the share price will fall back, or maybe Alere will up their own offer.

Dependant on how many you hold, there isn't much to be gained by accepting the offer vs selling at circa 468p.

To sell or not sell, that is the question.

I assume that Alere would have to apply for a delist and i agree that couldnt be on the 24th. But could it be on the 25th?

so how will another offer work. If people have already committed their shares to Alere they presumably can't accept a new offer.

I appreciate the last day to accept the offer is 24th, but shares will presumably be traded for a bit longer. Even if Alere get all they need they can't de list the shares that quickly won't it take afew weeks. I was planning to sell in the open market, but decided to hang on a day or two in case something is afoot, but seems unlikely to me. Unfortunately selftrade won't allow you to set a limit trade because of the coporate action, was hoping to catch a spike.

3pm Friday seem sensible to be.
hotfinance14

Yup Friday sounds sensible. I doubt it will drop much from where it is now, so there is nowt to lose now.

Actually you could push it to the wire, and hold through the weekend.

You have until 1pm on Monday the 24th to actually accept or sell. Acceptance as I understand it means at their designated office.

So if there were to be a last minute offer, and it came on Monday, if you sold on Friday, you'd miss it.

But I suspect if there is to be a last minute offer, they would want to make sure they don't let too many more send off their acceptances, so maybe it will come in by or on friday.

Or, -- maybe it's all smoke and mirrors by someone trying to drive up the sp, for one last squeeze for a big sell.

I think that there may also be a lot of selling of ASD on Monday if no offer visible, so not sure if it is going to be easy to sell then.

Yup I agree, very tricky.

Spoke to registrars capita today they require acceptance form signed and returned with share certificates, they say payement will then be 14 days after takeover is confirmed. This is a real tricky situation knowing when or if to sell, does anyone know the last chance will be to sell these on the open market? No one wants to be left with shares they can't sell which seems to be a possibility if shares are not sold in time, and deal goes through. Any advice would be greatly appreciated.

Broker informed me its a rumour in the city...if nothing by 3pm Friday I will sell.
hotfinance14

16:24
Where did you hear the rumour Hot?

If true, then not only Alere knocked for 6, but also the board of ASD, for telling everyone to take 470, and thereby contributing to the greater chance of success by Alere.

Yup, something afoot I think.

I'll have to get onto my broker and see if I can delay acceptance until the 24th.

I think that something is going to happen at or just before close of biz on Friday.
