Interesting you should mention PRES as the thought did cross my mind and they do appear to be a good fit. They have come down a long way since the heights of 2104 when their greenlanebiogas business was over-hyped. My one big reserve is that I doubt if AVG want any more exposure to oil& gas sector but could be wrong.

I've bought in a few chunks this morning, there is stock around well within the spread if anyone is interested in adding at these levels, I did think they might be looking at PRES as that would fit well incidentally.

Roger - Indeed I very much echo your thoughts in terms of the issues you raise and will do my best, but suspect they will be very tight lipped on such sensitive issues. Notwithstanding that I will do my best and see what surfaces!! I suspect there will be few, if any other shareholders, that will make my approach "less obvious"

It would be good if you can glean further details as to both near term and long term plans and prospects for the remaining businesses, how well they are performing individually, are they operating profitably and to what degree, and are they considering any further disposals .
Also more information on plans for the disposal proceeds, approximately how much is penciled in to support the existing business, how much for distribution to shareholders and is there a serious acquisition target and if so at what stage of the process?
Clearly there is a limit to how much they can realistically divulge without issuing an RNS or undermining the business, but suspect that because they have not declared the figures there must be some uncertainty as to the investment opportunities being pursued coming to fruition.

My memory is - the management ripped off shareholders in L Gardner - really was disgusting behaviour at the time.

Maybe they don't want to float Gardner Aerospace because it went bust once a long time ago when it was listed, although I doubt many people's memories are long enough.

agree , but would HILS be interested in such a minnow ? perhaps if they can leverage the ip and generate higher sales.

It is true that the E&M division which has been impacted by the oil price , has been a drag on the share price over the past two years, but the current outlook is optimistic and I can't imagine the BoD taking the decision to dispose of SIGMA otherwise.

Reading the announcement it states that they have approval of about 40% of shareholders, that I would expect is the Chairman & his wife's holding and possibly Nigel Wray. Could they really forge ahead with the buyout given a minority approval?

I'm kicking tyres here , imho the poles business looks a perfect fit for HILS ( a holding of mine) I'm intrigued by the nuclear possibilities, I hold HAYT for similar reasons..in part..

can anyone link to the relevant AVG subsidiary accounts as the ones I've found look underwhelming ?

The market for roadside poles seems to have recovered , this is the forth "significant for this business" order since September:



A very much forgotten business which I am pretty sure the BoD would like to dispose of, Crown could fetch a couple of million sold at the right time to the right buyer , perhaps another candidate for an MBO ?.

DG, maybe but not the most likely outcome if you draw parallels with another private equity group Better Capital which is seeking a sale not a float of Gardner Aerospace, a very successful investment for them.

DG , its being badged as an MBO by Silverfleet Capital , essentially the management "funding" is provided by taking a majority equity stake.

Roger - Had not considered this; are you saying it is a management buyout of the aerospace div by Sigma management as opposed to a buyout by a different engineering entity altogether....if you follow!!

Very much depends on how wisely they spend the money, but as I said I do not think they would have taken such a bold move if they don't have a significantly better investment lined up ( and this could potentially be a major order in one of their current businesses for which they need to make a big capital injection) .

I would add though that the energy engineering industry is much less predictable than the aerospace market. I personally would have been happy with a rights issue as I have previously stated, clearly the management of Sigma are very confident about prospects for the business to enact an MBO.

Whilst this weeks events came somewhat as a bolt from the blue, I think we will look back at the events and perceive that the Board have made a very shrewd move!
